I need to see what they gave up to close the buiness combo. Maybe they need to recapture those funds? The dilution schedule is due to shares issued per incentive allocation targets. Not sure i will make ROTH. I had hoped to, but schedule may change..

I am expecting their EPS will rise another 50% by next year when they complete that deal. Good growth and cash flow ( I stopped investing in china biopharma stocks because of AR problem but this one seems different).

Why do you think they would need money? They are a service business that doesn't have heavy capital expenditures like manufacturing equipment, inventory or a need to purchase raw materials.
They are presenting at the Roth Conference in Dana Point, CA on Wednesday the 17th so if you're going to be there, you probably could ask them about why they have such a heavy dilution schedule.
However, I do like the increasing growth of their business.
Asians absolutely love to gamble and I can see the potential for Macau and their new South Korean venture to keep gaining in revenue.
CCLTF - I think they can grow revenues and net income at 30%. According to their current guidance, they are projecting 31% growth in net income from 2009-2010.
But on a per share basis, 30% will probably be out of reach, because the management will be awarded about 1.2M shares for their performance if they meet the targets.
I am still in DD process. But make goods do exist that make this a story worth considering. I bought the warrants before the business combo and have bought more. I think dilution may be the problem here. I get the sense they may need

It's seriously undervalued if the strike is $5 and the common is trading at $ 9.40, but there is no float so I don't think the share price is a true representation of what the common is worth.

I think it should be a geobargain, or at least a geospecial.

Currently the trailing P/E is about 2.9, with a 4 year CAGR of 25%.
They announced last week that they exceeded their previous 2009 revenue guidance 129M v. 126.6M.

They report earnings Mar 29.
There are 8.95M shares O/S, with 5.7M owned by insiders. There are 15.5M warrants, and another 8M or so in escrow that are reserved for the insiders if they meet various net income targets over the next few years.
The warrants strike at 7.5 and expire in 2 years. They are anti-dilutive at current prices. If the stock goes to 10.00, and you account for the warrants with the treasury stock method (warrantes get exercised, and the company buys back shares with the cash), the P/E will be roughly 5 (at 10.00).
The shares in escrow are set to be released per a formula that ensures around a 12-17% EPS growth rate given the added dilution.
Personally, I find the stock extremely compelling at these levels, and have been accumulating all that I can below 7.00.
Upside catalysts are:
1) Mar. 29 Earnings and Press Release (should be positive, and will further increase visibility)
2) Uplisting (which they are actively pursuing)
3) Massive room for P/E expansion. You could double the PPS right now and the stock would still be significantly cheaper than most china small caps on a trailing P/E basis.
Risks are:
1) Exposure to the chinese real estate construction market. Note that as tile producers, their revenues are more exposed to the low-priced end of the market, whereas the bubble is in the high-priced end. The low-priced end of the market is a good investment, as there are still hundreds of millions of agrarian peasants in China that will migrate to urban dwellings over the next 10 years.
2) Warrant overhang.

Regarding TELT from Maj.....
Actually, I own a bunch of TELT. Unfortunately i was never able to interview them. And no guidance. What we really need to see is a sequentially higher fourth quarter. I will try and give them a call again next week. This has the chance to be a huge one if they can pull off a nice quarter. If they can get to positive shareholder equity, that is an immediate lift in value. One clue of a bright future is that they just upgraded facilities.

Writing something on PMUG soon which just completed its restructuring. Appears to have an EBITDA per share of over $30. But i need to peform DD for dilutive scenarios. I made some good money after the internet crash in similar plays in the wireless telecom sector. At the time i used a valuation metrics of 5 to 7 X EBITDA. Take a look at the history of MetroCall back after in exited chapter 11. There were about 4 others too i am trying to dig up. I also need to observe what the current valuation assumptions should be.
Im 28 out of 30 positions in china other the two are ... CKSW and DJSP...Open to semi-speculative U.S. plays .What you got ...Maybe i should just go to your website..
