The 8-inches of rain they got over the last few days might be slowing them down.

Southern Manitoba was hit with torrential downpours, overland flooding and thunderstorms at the start of the week, with some communities receiving upwards of 200 millimetres (mm) of rain.

According to Environment and Climate Change Canada (ECCC), the rainfall began on Monday and moved into Ontario by Tuesday afternoon.

Over the span of 36 hours, many southern Manitoba communities received large rainfall amounts, including Elma, which got 205.2 mm; Ste. Pierre-Jolys, which was hit with 167 mm; and Steinbach, which received 155.5 mm.

Full power likely is required to run the FP300 for certification (I'm assuming) IMO this should end uncertainty that has led to the wavering share price. NEWS -- FuelPositive Closes Final Tranche of Private Placement



FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the "Company") announces that it has closed a non-brokered private placement (the “Offering”) and has issued 8,925,055 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $490,878. Each “Unit” consists of one common share of the Company, and one common share purchase warrant exercisable at a price of $0.07 until August 29, 2029.

The Offering represents the final tranche of the placement previously announced by the Company on May 28, 2024.

No finders’ fees or commissions were paid in connection with completion of the Offering. All securities issued in connection with the Offering are subject to restrictions on resale until December 30, 2024 in accordance with applicable securities laws.

The Inspection and Technical Services (ITS) division of the Ministry of Labour, responsible for inspecting pressure vessels, will conduct their final on-site inspection during the last week of August. This inspection is anticipated to be a crucial step—a milestone eagerly awaited by stakeholders—as it will provide a clear timeline for approval, enabling FuelPositive to move forward with activation and secure its first sales.

ITS is responsible for Boiler and Pressure Vessel safety in Manitoba. Through physical and remote inspections, ITS is committed to working with industry and owners to reduce safety risks by confirming compliance with The Steam and Pressure Plants Act, The Power Engineers Act, and the Regulations set out by the Government of Manitoba.

ITS works with industry to oversee the safe construction, installation, and operation of Boilers and Pressure Vessels within Manitoba. ITS works with equipment owners, manufacturers, installers, and licensed power engineers to ensure safety standards are followed. ITS enforces Boiler and Pressure Vessel safety standards through design registration, inspections, examinations, and licensing.

• Manitoba Hydro:

FuelPositive is pleased to report that it has secured September 17 as the date for the final power connection to the site. The Company is actively working with Manitoba Hydro to accelerate this timeline.

WATERLOO, Ontario, May 28, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the “Company”) is pleased to announce that it has closed the first tranche of its non-brokered private placement (the “Offering”). In connection with completion of the first tranche of the Offering, the Company has issued 28,123,818 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $1,546,810. Each Unit consists of one common share of the Company and one common share purchase warrant (each, a “Warrant”) allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.

The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as all participation has been finalized.

The net proceeds from the Offering will be utilized for general working capital purposes. Manitoba on-farm installation

"While we were pleased to meet our April 15 target date for the shipping of our system, we deliberately chose to hold back the last containers in Waterloo until we receive the go-ahead from the Hieberts regarding final site readiness. It’s been a challenging spring for farmers in Manitoba due to significant precipitation, and we had to press pause to allow for the necessary heavy equipment access to the site," continued Ian Clifford.

May and early June are also incredibly active periods for seeding and planting for farmers in Manitoba. FuelPositive is respectful of the Hieberts’ busy spring and unforeseen weather-related site prep challenges and decided to keep the balance of the system in Waterloo until the Hieberts go ahead. Once received, the balance of the system will be installed on-site in Manitoba following two days to account for loading and shipping times.

The positive aspect of having the balance of the system at FuelPositive facilities in Waterloo has allowed the team to advance readiness, which will translate into accelerated on-site commissioning.

The Company monitors progress daily and awaits confirmation from the Hieberts that the on-farm site is ready to receive the complete system, including the new 90-ton anhydrous storage tank.

Private Placement first tranche details

In connection with the completion of the first tranche of the Offering, the Company anticipates issuing 27,000,000 units at a price of $0.055 per Unit for gross proceeds of $1,500,000. Each Unit will consist of one common share of the Company and one common share purchase warrant allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.

The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as participation has been finalized.

The net proceeds from the Offering will be utilized for general working capital purposes. In connection with the completion of the Offering, the Company may pay finders’ fees to eligible third-parties who have assisted in introducing subscribers to the Company.

In connection with the completion of the Offering, the Company also intends to settle (the “Debt Settlement”) outstanding indebtedness totaling $111,000 owing to certain arms-length credits in consideration for the issuance of 2,018,182 Units at a deemed price of $0.055 per Unit. The Debt Settlement is inclusive of amounts previously announced by the Company in its news release of April 4, 2024.

All securities issued in connection with the Offering and Debt Settlement will be subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws. Financial figures with gross sales dollar amounts. These are the things that success is based on. We know there is a Waterloo plant because they took a politician to it. Seriously, I don't blame doubters, it has taken way too long to get this synthesizer unit on the farm, and IMHO with insufficient transparency, so it's reasonable to wonder what's going on. On the other hand, I'm quite hopeful. This date of April 15 has slipped a little (originally March31), but it is an actual date, as opposed to years of meaningless "weeks and months" nonsense. So, God help me, I do think this time it's different. Lots of factors point to that. If it is ready to go, it still may slip a little, but if I am right, we should know a lot by the end of the month. They seem to be trying to forge bonds with both the Manitoba and national governments, and any help from government, if it comes, will be quite welcome.

Non-Brokered Private Placement
