Be leary if convertible debt is involved. Usually if it happens once management very likely will do it again. Plus the TA is usually gagged. You need to find companies on the OTC that are relatively low float and insiders own minimum 60% and outstanding shares under 500 million. Look up death spiral financing to learn more what I am taking about. There are many examples of stocks were the debt holders short the craps out of it and then convert it. Then O/S gets maxed and a reverse split is next. Goodluck
