Big acquisition news from last week!
Eco-Shift Power Corp. Completes Acquisition of Sun Industries
CAMBRIDGE, ON, Oct 22, 2014 (Marketwired via COMTEX) -- Eco-Shift Power Corp. (OTCQB: ECOP) today announced the milestone acquisition of California-based Sun & Sun Industries Inc. dba Sun Industries ("Sun"). The definitive Share Purchase and Exchange Agreement (the "Agreement") closed on October 20th, 2014 and has resulted in ECOP acquiring 100% of the issued and outstanding common stock of Sun and the cancellation of all outstanding Sun Preferred Stock.
The acquisition of Sun delivers significant value for ECOP shareholders by combining Sun's growing US market share, impeccable brand & reputation, and world class executive team with ECOP's proprietary LED high bay fixture and wireless light management system that is Demand Response ready. With the acquisition of Sun, ECOP gains an immediate presence in major North American markets including California, Texas, Florida and Puerto Rico. Consolidated company revenue is anticipated to exceed $10M in 2014 with high double-digit growth forecasted for 2015.
Highlights for ECOP Shareholders
-- ECOP gains a substantial annual revenue stream and significant market
share in California as well as other high-growth multi-billion dollar US
markets. Sun has completed over 700 projects in 30 states.

technologies. By utilizing Sun's trusted reputation and well established
network of national distributors, there will be a quicker market
penetration and scale-up of revenues from ECOP's proprietary
technologies.
-- As a manufacturer, ECOP will be able to earn better margins by plugging
directly into end-users via Sun's core business as well as increasing
the profitability of Sun's successful lighting retrofit business.
-- ECOP will be able to generate ongoing revenue from Sun's core lighting
retrofit business with its Radium Light Management System which will
operate under a Software-as-a-Service (SaaS) model for providing Demand
Management and Demand Response services in addition to wireless lighting
controls.
-- ECOP's access to public market financing is anticipated to add $3-5M to
Sun's pre-acquisition revenue forecast of $13.7M for 2015 by providing
increased bonding capacity needed to access the $2 Billion in
California's Proposition 39 funding.
-- ECOP's leading edge proprietary technology aligns perfectly with
California's Title 24 Regulatory changes that require lighting control
systems that are demand response ready for all new commercial and
industrial facilities.
-- Sun's abilities to manage very large and complex lighting retrofit
projects will expand ECOP's reach within Ontario and to key eastern
states like New York.
-- ECOP gains a world class executive team and project management approach
that continuously delivers excellent results for big name clients.

customers including Google, JC Penny, Sears, Best Buy, Starbucks, Coca-
Cola, Hewlett Packard, the Federal Aviation Administration and the Navy
Exchange among many others.
Increase in shareholder value with growth through acquisition
"The acquisition of Sun Industries delivers a major increase in shareholder value to ECOP shareholders," exclaimed CEO Gib Wood. "This acquisition is perfectly aligned with ECOP's repositioning plan to expand into major US markets through strategic acquisitions and partnerships," added Wood. "Our due diligence on Sun Industries exceeded expectations at every turn and I am confident that we are bringing on a world class company and management team that is aligned with our long-term vision," states Wood.
"The entire Sun team is extremely excited about the opportunity that this transaction brings," stated Duncan Frederick, Managing Director of Sun Industries. "With over 20 years of experience in the industry, Sun shareholders and employees see significant upside in ECOP's technology and business model," added Frederick. "Sun management and staff are enthusiastic about the opportunity to expand retrofit sales and operate as a value added reseller in such an exciting high-growth market. Given our intimate knowledge of developments within the lighting industry, we are particularly excited about ECOP's cutting edge Radium Light Management software which we feel is positioned at the forefront of a lighting controls & energy management revolution that is set to take the North American market by storm," concluded Frederick.

$ECOP news from yesterday!
Eco-Shift Power Corp (OTCQB: ECOP) Announces $1.0 Million Phase 2 Rancho Santiago Community College LED Lighting Retrofit Project in Santa Ana California
CAMBRIDGE, ON, Oct 27, 2014 (Marketwired via COMTEX) -- Eco-Shift Power Corp (OTCQB: ECOP) -- ECOP's wholly-owned subsidiary, Sun & Sun Industries Inc ("Sun"), has been awarded a $1.0 million Phase 2 energy efficiency lighting project with Rancho Santiago Community College District at the Santiago Canyon College Campus. Phase 2 includes replacement of exterior fixtures with new LED fixtures and a retrofit of interior fixtures with LED kits. The total value of Phase 2 is $1.0 million, bringing total of both phases to $2.1 million.
"The Santa Ana College project demonstrates Sun's ability to win projects funded by the multi-billion dollar Proposition 39 funding and deliver on large-scale and complex projects," stated Steven Wong, Sun's National Account Manager. "We were very happy to be awarded Phase 2 of this project and are dedicated to ensuring that our client remains impressed with our service," exclaimed Wong. "Sun Industries has been very successful at getting repeat business from clients given our dedication to excellence" noted Wong.
Sun is also pleased to announce the successful completion of the Phase 1 lighting retrofit project, which involved replacing over 6000 fixtures with LED products at the Rancho Santiago Community College District: Santa Ana College in California. Sun was recently acquired by ECOP and will continue to operate as ECOP's California and US business unit.
The $1.0 million dollar Phase 1 project was funded through the California Clean Energy Jobs Act (Proposition 39). Sun Industries was awarded the project due to competitive pricing, expertise in lighting retrofits, and a history of successful projects in the MUSH sector (municipalities, universities, schools, and hospitals).
Sun's ongoing success with Prop 39 projects is a result of the company's experience and depth of services aligning perfectly with the preferential award criteria. Sun's bid responses entail a 21 year history of over 115 retrofit projects across the United States, totalling $21 million with an average project size of $500 thousand completed in schools and universities. Sun Industries is an ideal candidate for any K-12 or Community College District implementing an energy savings project. Sun is equipped with highly trained professional lighting design staff and a project staffing plan for 100% on-site project management combined with an in-house team of California Certified Lighting Technicians.
The Phase 1 project included a complete pre-field verification at the Santa Ana College Campus, a construction grade audit, and a review of proposed lighting layouts. Sun also assisted in fine tuning the exterior lighting specification during the construction phase. Inefficient (400-1000 Watt) HID parking lot and walkway fixtures were replaced with new (225-295 Watt) LED fixtures. New (40 Watt) LED canopy fixtures were installed in exterior walkways of a multilevel instructional building. A variety of interior T8 fluorescent fixtures throughout the entire campus were retrofit with high efficiency LED retrofit kits.
Sun's experience with the California Clean Energy Jobs Act (Proposition 39)
Sun Industries has extensive experience in delivering lighting retrofit projects to the MUSH sector, which in California are often funded by California Clean Energy Jobs Act (Proposition 39). Relying on its core competencies and market place knowledge, Sun continues to capture new projects and establish relationships for future business. Public bid announcements are made for all energy efficient lighting retrofit Proposition 39 projects. Contractors who meet the minimum requirements of licensing, demonstrated project history, and operational capabilities are eligible to bid. Beyond the standard requirements, preference for award is given to contractors with experience in educational facilities, the capabilities to provide value added design, and the ability to self-perform the construction phase with in-house labor. According to Wong, "We are very pleased with our performance and reputation for successfully delivering Prop 39 projects and look forward to increasing our presence in this space in 2015."
About the California Clean Energy Jobs Act (Proposition 39)
The California Clean Energy Jobs Act (Prop. 39) allocates roughly $550 million annually (approximately $2.75 billion over 5 years) for eligible projects to improve energy efficiency and expand clean energy generation in schools.
