I think this is true of most of DL's tickers. Can anyone explain why goff is the one which decided to take off?

Keep in mind Smitty that its not always the majority who is right.I have seen it time and time again in the OTC. Minority is right majority of the time.
Typically I get out of custodianships prior to new company taking over. I have started doing this due to the fact that the Chinese who buy the shells dont communicate with investors. That combines with the RS usually leads to PPS to slowly bleed out. There are plenty of Lazar former tickers you can read up on and see this for yourself.
If you truly believe in what Wei Tain is bringing to the table and want to be part of it then I suggest you wait. See what exactly they are bringing in, look at the filings/paperwork for the new company, revenues etc. Then you can make an educated decision to buy back in. Will you pay a bit more? Sure you will.It would still be the ground floor for the new company however. At least you wont have dead money sitting in a ticker waiting for news when that money could be better spent in another ticker making gains. I have had dead money in a former Lazar ticker for over 18 months with no news from new Asian company. I figured I would hold rather than sell at -80% loss on paper. That money could have been used elsewhere and made profits seeing how the OTC has been hot lately.
With 8.9 b A/S a RS is most likely going to happen. JMO
I agree. I actually got out when the RS news first hit for a nice profit. I am now re-evaluating everything with all the buzz floating around about a RS not happening. If I could get back in at these levels its a no brainer. It seems the people thinking a RS is off the table far outweigh the few I see mentioning a RS. Was just hoping to get more info to make an educated decision and also learn from this expereince for future trades. Ive been researching other RS's but havent seen similar forms. I have seen one for TurnKey floating around where they explicitly call out a RS in the issuance line vs the XMET one which is left to be assumed a RS is occuring.
XMET is honestly the first Lazar ticker I have seen with outright misleading speculation from both sides.
As Lucky stated any ratio can be done for a RS. People that are still holding are lucky its just 100:1, could have been a lot more.
Also dont think that Lazar, Wei or anyone else who buys a shell has the interest of legacy share holders in mind. They are in it to make themselves money, not make us money. Ride their coat tails make your profits and move on to the next one.

Thank you for the clarification. I know many say the math for a 100:1 RS isnt possible but the verbage of the NRS 78.209 seems to state otherwise.
Wei is an intelligent business man. I dont know why he would write common to common if he meant preferred. Many people are saying its assumed to be preferred due to "shall automcatically be converted" but it seems like thats a wide assumption to make on a form.
RM and RS are 2 separate things. XMET can do both. And there is talk on that board of both, I have yet to focus any energy on what is being said there as of late.
Can anyone confirm whether XMET is a RM or RS? In the header its mentioning a RM but with the forms filed last week the language states common to common instead of common to preferred. Just trying to get some clarity and maybe an example from a previous ticker. Thanks!

Yep, agreed 100%, but calling something a SPAC is sexier than just a shell, thus the reason traders do it....lol.
These Lazar tickers, and essentially all OTC reverse merger vehicles are simply shells, not SPACs. SPACs raise funds through a 'blind pool', they take those blind pool funds and put them into a trust account, until they can find an acquisition target, and then use those funds to purchase said company.
These OTC shells have nothing of any value beyond being a vehicle for a public listing, and potentially NOLs, thats it.
Yeah, I posted the same thing awhile back. I think it's very misleading to refer to shells as SPACs and was meant to draw more eyeballs to Lazar plays once SPACs started becoming hot

In both cases, “investors” are buying shares without knowledge of what they are purchasing.

Something I have been thinking about for a while...
I keep seeing posts (on various boards) that talk about DL shells as though they are "SPACs" like GNOG, SRAC, the SPAC that became TTCF, etc. Both are public companies whose business plan is to offer a fast "go public" path to private businesses, but the similarity ends there. They really are two different animals.
The shells are just that - shells. There is nothing inside. All the shell brings to the table is a public listing. The share structure is whatever it used to be - often wildly bloated to the point where a reverse split (after DL exits) is pretty much inevitable.
The true SPACs, in the other hand, are well-capitalized from the get go, usually to the tune of $100MM. There certainly are not any DL shells with $100MM in the bank! The capital structure is very simple and controlled from the start - usually 10MM shares at $10 with associated warrants. There is no need for a reverse split. The filings and SOS registrations are current. Additionally, most of these SPACs are listed on the NASDAQ from the very start. These SPACs bring WAY MORE to the table than does a DL shell (or any other shell), which means that the investors who buy the SPAC can expect a far higher share of the resulting company after a merger candidate is found.
I think it is really silly and misleading to use the term "SPAC" in any post about DL shells.

I think the discussion about "which is the best DL shell" at any particular point in time is kind of silly.
DL follows a process, which is great as we get predictable and publicly verifiable milestones that each shell reaches in turn. That said, you can't really say that "this one is next" or "WXYZ is overdue".
The whole point of this board is betting on the JOCKEY, not the HORSE! I buy a basket of them and simply don't fret what is about to happen with any one of them that I own or any that I don't.
That said, since I can't buy them all, I gravitate to those with the lowest market caps, lowest share structure and earliest in the shell rehab process. Those are not hard and fast rules, but preferences that guide my buying. Since I need a filter anyway and I believe the bankruptcy court introduces delays and diminishes DL's control of the timeline, I stay away from the Q shells. Just my own personal preferences, other things equal.
I now own about 8-10 Lazar shells and former Lazar shells that have been through their r/m. However, I really don't try to rank them against each other short or long term. Again, my bet is on the jockey, not the horse.

No secondary market has developed for those tickers, because there simply is not anything to trade. There are only 2K shares held @ DTC for KTDR, RMLS and a whopping 20 for ONFA, so if those shareholders don't sell, there is nothing to buy, until someone else gets shares through clearing, and deposited, as the vast majority of the float would still be in certificate form, and not electronically tradable.
DTC only accepts deposits of securities from clearing firms, and clearing firms typically don't want to accept the liability, of clearing large blocks of shares, on any new trading ticker, especially those without adequate information, or filings, like those three.
I would be surprised to see a secondary market developing any time soon on those tickers, its possible a couple thousand shares could drop, but realistically those could still be 6 - 12 months away, if not longer, especially ONFA.
Those tickers would probably be best suited to go to the Chinese to use in RMs, which are typically a slower, and more long drawn process IMO.
