Item 1.01 Entry into a Material Definitive Agreement

On March 1, 2018, Crown Baus Capital Corp. (the “Company”) entered into a Share Purchase Agreement (the “Agreement”) with Carmen Dupetit and Alfredo Dupetit (collectively the “Sellers”), who are the owners of the Cannabia International Trademark (the “Trademark”).

Cannabia has been brewed since 1996, it is known as 1st beverage containing hemp. Since 1996 there has been over 3 million bottles of Cannabia sold, always the same EU organic certified quality. Family owned and operated company that has never stopped production since inception. Cannabia is currently being exported to France, Spain, Japan, GB, Greece, Barbados, and sold in Germany, under the Cannabia Brand TM.

The Agreement provides for the purchase of all the Sellers rights, assets, technology, intellectual property, trademarks, titles and interest in the Trademark in exchange for the payment of $2 million cash within 12 months and the issuance of 5 million restricted common shares to the Sellers. The cash portion will be discounted by $1 million if paid within 3 months from the date of the Agreement or by $500,000 if paid within 6 months of the date of the agreement. The Closing Date of the Agreement is May 1, 2018.

On January 13, 2015, the Board of Directors and majority of the shareholders of Crown Baus Capital Corp. (the “Company”) by written consent resolution appointed Raymond C. Dabney as Director, President and Chief Executive Officer. Mr. Dabney will replace Chad S. Johnson as President and Chief Executive Officer. Mr. Johnson was appointed as Chief Operating Officer and General Counsel of the Company and will remain as a Director of the Company. Mr. Dabney’s appointment to the Company’s Board of Directors increases the number of Directors sitting on the Company’s Board of Directors to 3.

Mr. Dabney has been working as a managing consultant with the Company since March 2014. From October 2008 to November 5, 2014, Mr. Dabney was a managing consultant of Cannabis Science, Inc. (“Cannabis Science”), a publically traded company (OTC: CBIS). From November 5, 2014 to present, Mr. Dabney is a Director and President and Chief Executive Officer of Cannabis Science.

Mr. Dabney will serve as the Company’s Director and officer until his duly elected successor is appointed or he resigns. There are no arrangements or understandings between Mr. Dabney and any other person pursuant to which he was selected as an officer or director of the Company. There are no family relationship between Mr. Dabney and any of the Company’s officers or directors. Cbis....total failure to date...years of promises...none kept.appears to be a stock selling scheme...FBI is on to him I'm sure...all the people involved have released press to shareholders over the last year to sell shares....he supposedly gave the right to some Cbis product to ENDO (Kane) to develop and sell....lol...Kane sold stock never a product ...and bolted now he is deaf and dumb now it seems ... Refuses investor relations even though he is listed as ir guy...lol
Google; Raymond c Dabney you'll learn all you really need to know.....of course I'm sure Dabney will try to appear legitimate before he closes all these companies downand retires on investor money...in my opinion ...kinda like Cowan and melamede. Just cashed in and walked away with investors holding the bag ....now it's all about preserving the bogat family trust as far as I can tell...desperate moves in California recently to forestall total failure which would expose them all as liars in my humble opinion...last year they were doing all endo product release ,state deals..clinics etc....this year it's been Cbis issuing similar but unproductive press to sell stock....this mess CBCA who the hell knows ....if they had money to invest as stated in their intention list I'm sure that Omnicann was a likely winner according to all Kane's projections and promises,not even considering what bray and Johnson added to the list of coming attractions ....there you go ...that's my opinion balls in their court but they don't play well...go read the years of dabneys press releases from CBIS.....you may see a pattern...especially if you overlay the volume and AS compared to OS
