Comstock Records Significant Gains From Completion of Major Asset Sales

Comstock Inc. (NYSE: LODE) (“Comstock” and the “Company”), an innovator of technologies that enable systemic decarbonization and the energy transition by efficiently converting under-utilized natural resources into renewable energy products, today announced the successful completion of multiple asset sales, resulting in strong gains and advances of the Company’s objectives.
Investment in ABTC and the Battery Recycling Facility

The Company previously announced the sale of its Battery Recycling Facility and LINICO’s sale of certain related equipment (collectively, the “Facility”) to American Battery Technology Company (“ABTC”), for a net price of $27 million. This week, the Company completed the sales of its 9,076,923 ABTC common shares for proceeds of approximately $5.5 million, resulting in total cash proceeds of $26.5 million, net cash proceeds of $14.5 million, and a realized gain on the sale of these assets of over $7 million that will be reflected in the Company’s statement of operations in third quarter of 2023. ABTC is required to make a final payment of $0.5 million in cash, during the fourth quarter of 2023, associated with the purchase and sale agreements.

“This represents the culmination of a major asset sale objective, bringing in over $15 million in net cash proceeds during 2023, and recording a $7+ million realized gain on the sales,” stated Mr. Corrado De Gasperis, Comstock’s executive chairman and chief executive officer. “We look forward to putting this capital to very productive use in our other lines of business, including our new photovoltaic recycling facility located in Silver Springs, Nevada.”

Investment in Green Li-Ion

The Company’s 88% owned LINICO subsidiary also consummated the sale of 1,500 preferred shares, or 4%, of its 37,162 Green Li-ion Pte. Ltd. (“Green Li-ion”) shares for gross sales proceeds of $0.8 million, and a realized gain on the sale of approximately $0.6 million, and effectively valuing the remaining 35,662 shares at about $19 million.

You're looking at KK in the wrong light. KK is the AI that LODE is using.
The CEO said in the call yesterday that AI was based on science, which I extrapolated to mean AI was not based on unicorns.

Think about it. KK/AI was in the early stage of development at greenstuff and is now going to make us all rich at LODE.

AI or not, KK or not, at least I can sleep good at night knowing the company is going to recycle solar panels, and maybe turn tree bark into fuel for my fishing boat motor.

Not bad in my opinion. Listened to the call and was happy to hear no new dilution. Nice to hear money is to start coming in from sales of 'stuff'.
Nice to hear the pilot fuel system is actually working on stuff which will allow permitting review to be quicker.
I'll be 126 years old before turning a profit on LODE but heck, that's something to look forward to.

I can hardly sit still waiting for the new report so I decided to write the LODE Q2 Earnings.

The Mineral Lease has a term of 20 years and would automatically continue once mine feasibility is established and for so long as Mackay is engaged in mining operations and in full compliance with the Mineral Lease. The fees associated with the Mineral Lease included a $1.25 million initiation fee that was fully paid at signing plus $1.5 million per annum for the first four years, and $1 million per annum thereafter, in all cases plus expense reimbursements of approximately $200,000 per year. Comstock also retains a 1.5% net smelter return royalty from all future precious metal production.

Item 8.01 Other Event.

On March 7, 2023, Comstock Inc. (the “Company”) reported on Form 8-K that LINICO Corporation (“LINICO”), a corporation that is 88.21% owned by the Company, entered into agreements with to sell certain assets for $27.0 million, including the LINICO Battery Recycling Facility (the “Facility”) to American Battery Technology Company, a Nevada corporation (“ABTC”). Pursuant to the terms of the LINICO purchase and sales agreements, $1.5 million of the purchase price will be held in escrow for up to 18 months and be available for the settlement of and buyer indemnification claims.

On March 1, 2023, LINICO received $6 million in proceeds associated with the sale of certain equipment associated with these agreements.

On March 31, 2023, the Company, LINICO and the parties amended the Facility purchase agreement, and on April 6, 2023, the parties amended and restated the Facility purchase agreement (the “First Amended and Restated Agreement”). Pursuant to the First Amended and Restated Agreement, the Company agreed to take certain action previously contemplated by LINICO, including purchasing the Facility. The Facility was being leased pursuant to an agreement that permitted the Company to purchase the Facility for a purchase price of $15.25 million ($3.25 million of which, was previously paid in the form of deposits) if LINICO elects not to or is unable to purchase the Facility. The Company subsequently received $5 million in cash upon signing the First Amended and Restated Agreement.

The First Amended and Restated Agreement previously contemplated that the Company will receive an additional (a) $10 million in cash on or before April 21, 2023 (the “Second Deposit”) and (b) 10 million shares of restricted shares of ABTC stock on or before May 1, 2023 (with a guarantee that the Company will receive additional cash and/or shares if and to the extent that the proceeds from such shares are less than $6.6 million).

On April 21, 2023, the parties amended and restated the First Amended and Restated Agreement (the “Second Amended and Restated Agreement”), pursuant to which the parties agreed, among other things, to amend the payment terms of the Second Deposit. Pursuant to the Second Amended and Restated Agreement, the Company will receive (a) $7 million in cash on or before April 21, 2023, and (b) $3 million in cash no later than May 12, 2023 (the “May Payment”). The Company subsequently received $7 million in cash upon signing the Second Amended and Restated Agreement.

On May 12, 2023, the parties amended the Second Amended and Restated Agreement (the “First Amendment to the Second Amended and Restated Agreement”), pursuant to which the parties agreed, among other things, (a) to amend the payment terms of the May Payment, whereby ABTC paid $1 million in cash and 1 million additional shares of restricted shares of ABTC upon signing of the First Amendment to the Second Amended and Restated Agreement, and will pay the remaining $2 million in cash on or before May 26, 2023. ABTC will also pay an additional $250,000 in cash to the Company on or before May 26, 2023, to extend the closing period of the agreement, as previously contemplated in the Second Amended and Restated Agreement.

The 11 million shares of ABTC stock now issued to the Company will be registered for resale pursuant to a registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission by ABTC on or around May 15, 2023.

The Company expects to receive net proceeds of approximately $15 million, $7 million, net, of which has already been received, from the sale of the Facility and related equipment, on or before September 30, 2023.

Indeed, after 11 or 12 days only raising and a RSI almost 90, it’s absolutely normal to drop now. Myself I sold between 55 and 78,5 , 20% of my position. And I’m ready to pick up back again between 45 and 55. Just drop 50% between awesome raising between 30 and 80 in 12 days.

This drop is ABSOLUTELY normal and very good for next months. Comstock just need to breath.
