ITEM 1.02 TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT
Effective August 30, 2013, BioMedical Technology Solutions Holdings, Inc., a Colorado corporation (the “Company” or “BMTS”) (OTC Pink: BMTL) entered into an Agreement and Plan of Merger (“Merger Agreement”), between the Company and MedClean Technologies, Inc., a Delaware corporation (“MedClean”) (OTC Pink: MCLN). Consummation of the Merger was subject to the satisfaction of numerous conditions. Concurrently, the Company and MedClean entered into a Management Agreement. The Company announced the Merger Agreement and Management Agreement in its Current Report on form 8K dated August 30, 2013 and filed with the Commission on September 5, 2013.
On January 27, 2014, the Company received a letter on behalf of MedClean terminating the Agreement and Plan of Merger and the Management Agreement.
Strong bids there.
It will by the closing of merger. The reason the pumpers did not jump on this one is because there is a 343,000 share block at .025.
Worth 20% more than what ever MCLN trades at. Mcln at .06 now values this at .072.
whats the story here ? Why is it so dead I would think people would be on this one ?
Its clear in the 8-k that current BMTL holders get 60% stock in new company while current Mcln holders get 40%. At some point BMTL will trade higher than MCLN. Question is does that mean MCLN will come down or will BMTL go up. We will see. By the time it hits daily list price correction will have occurred.
Pls explain... Isn't BMTL worth more than MCLN though its pps is lower? If true, why will anyone sell BMTL and buy MCLN?
60/40 ratio in favor of BMTL. Which means if MCLN trades at .04 that values BMTL at .06. Pretty simple. I'm amazed how some ignore the facts and follow people instead of the DD.
SECTION 5: MERGER CONSIDERATION
5.1 Securities to be issued on Effective Date of Merger.
On the Effective Date of the Merger:
(a)
all issued and outstanding shares of common stock of BMTS (the “BMTS Common Stock”) shall be converted into shares of MedClean Common Stock (the “MedClean Common Stock”) The conversion rate of BMTS Common Stock into the MedClean Common Stock shall be as set forth in Exhibit 5.1(a), attached hereto (the “Exchange Ratio”). (Note: The calculation of the Exchange Ratio shall give effect to the MedClean Pre-Closing Actions, and shall be based upon the total of MedClean common stock and stock options and warrants exercisable to purchase shares of MedClean common stock outstanding as of the Effective Date (the “MedClean Fully-Diluted Shares”). Any changes in the MedClean Fully-Diluted Shares will change the number of shares of MedClean Common Stock to be issued hereunder, such that the MedClean Common Stock issued to the holders of BMTS Common Stock on the Effective Date of the Merger shall represent 60% of the total issued and outstanding shares of MedClean Common Stock immediately following the Merger.
The facts are that BMTL is worth more than MCLN. Just that 343,000 share block at .025 stopped the flippers from playing this one for now.
Upon consummation of the Merger, all issued and outstanding shares of BMTS common stock will convert into a number of shares of MedClean common stock which will represent, when issued, and after giving effect to the Debt Conversions described below, 60% of the total issued and outstanding shares of MedClean (the “Exchange Ratio”). The Merger will result in a change in control of MedClean. The Merger is subject to any dissenters’ rights of the BMTS and MedClean shareholders.

I clearly read that BMTL common shares will be converted into MCLN shares. BTW BMTL shares will be converted into 60% of MCLN OS. Not sure why you like MCLN. If MCLN is valued at $1M market value, then BMTL share holders will take $600k of them by converting current BMTL common shares. BMTL will not be a shell afterwards, Most likely
ticker BMTL will be revoked since all its common shares are converted to MCLN.

SO glad I got out of this turd @ .04
Sure I took a little hit, however seeing where it's at currently assures me I did the right thing.
Spoke with investor relations today. Expect to see 10-Q and 10-K soon and back on the OTCBB within the next week or two. The reason for the delay on the filings was due to a change in the auditor/accounting firm. But everything is in order and assured to be in good standing. Also everything is still okay with the Brazil deal moving forward and being fulfilled. I'm holding and expecting a triple or better on this from current levels. Best wishes! :o)

Deans42 you are perfectly right, today I tried to call them and ask about share structure and the mysterious Brazil deal and nobody answered....so today I got rid of 32000 BMTL at 0.034 bought at 0.030-32...and I'm looking forward to unload the boat more in the following days.

That would explain the 4 million increase in the float from November until March. The float in November was 11 million. It rose to 13 million, then 15 million..... AND THAT WAS PRIOR TO THE 1 MILLION SHARES DUMPED TWO WEEKS AGO!!!!!!!!!
"TradeHo" received a telling response the last time he called to confirm the rapidly rising share structure. He called after the last one million dump. The week prior they gave him the float, however just a week later they were very "short" to say the least, and told him in no uncertain terms "we're not at liberty to disclose that information". He was going to have his firm send a letter to the TA two weeks ago, i can only assume he heard nothing back as nothing more was said.
I do like the company, however the HEAVY dilution has made me question the stock. Some on here have said "it's only a few million" and such, however I'm strictly a numbers guy, and that's a CONFIRMED 30% increase in five months (again NOT INCLUDING the last million dump two weeks ago).
In hindsight, it's crystal clear to me why the stock price plummeted rapidly (after each rally that should've sent this soaring).
I still hold my position in BMTL, however it went from a long-term hold to a short-term play.
I can't find on their website the 13 mil big sale.....a few weeks ago it was there, it also disappeared from my zecco trading account, late 10k filling, symbol change, now this....it's becoming weird..Maybe they wanna intentionally pull down the price?

Overview

History
The original patented Demolizer® biomedical waste processing system was developed in 1993 by Thermal Waste Technologies, Inc. (TWT) and has successfully completed over 300,000 processes. In 2005, the Demolizer® patented technology was acquired by BioMedical Technology Solutions, Inc., and the Demolizer® system was enhanced with advanced quality control, hardware and remote diagnostics.
