BBX Capital Real Estate Announces the Grand Opening of Beacon Lake, its Master-Planned Community Near Jacksonville, Florida

FORT LAUDERDALE, FL--(Marketwired - April 20, 2018) - BBX Capital Real Estate, a division of BBX Capital Corporation (NYSE: BBX) ("BBX Capital" or "BBX"), announced today that the grand opening of Phase One of its master-planned community, Beacon Lake, located in St. Johns County near Jacksonville, will take place on Saturday, April 21st from 11:00 a.m. to 3:00 p.m.

The grand opening will feature five furnished and decorated single-family model homes built by Dream Finders Homes and Mattamy Homes -- two highly respected builders with long standing reputations for building high quality homes. Guests at the grand opening will enjoy live music, a family fun zone, food trucks, giveaways and the chance to win prizes. The event is free and open to the public. Beacon Lakes' planned 8,200 square foot Lake House Amenity and Fitness Center situated on a 43-acre lake is currently under construction. FORT LAUDERDALE, FL--(Marketwired - April 20, 2018) - BBX Capital Corporation (NYSE: BBX) (OTCQX: BBXTB) ("BBX Capital") announced today the final results of its tender offer to purchase up to 6,486,486 shares of its Class A Common Stock at a purchase price of $9.25 per share. The tender offer expired at 5:00 P.M., New York City time, on Tuesday, April 17, 2018.

Based on the final count by Computershare Trust Company, N.A., the Depositary for the tender offer, a total of 7,775,065 shares of BBX Capital's Class A Common Stock were properly tendered and not properly withdrawn. Because the tender offer was oversubscribed, shares were accepted from tendering shareholders on a pro rata basis so that BBX Capital accepted for purchase a total of 6,486,486 shares of its Class A Common Stock. BBX Capital has been informed by the Depositary that the proration factor for the tender offer is approximately 83.4%. The shares accepted for purchase by BBX Capital represent approximately 7.6% of the issued and outstanding shares of BBX Capital's Class A Common Stock and 6.3% of BBX Capital's total issued and outstanding equity, which includes the issued and outstanding shares of BBX Capital's Class B Common Stock, as of April 19, 2018.

The aggregate purchase price for the shares purchased by BBX Capital in the tender offer is approximately $60.0 million, excluding fees and expenses relating to the tender offer. BBX Capital will pay for the shares purchased by it in the tender offer and the related fees and expenses using available cash. The Depositary will promptly issue payment for the shares accepted for purchase in the tender offer and return shares tendered in the tender offer but not accepted for purchase.

What is your take on the shareholder's rights plan? To me it reads if BBX share price gets over $25.00 lets say $30.00 you can pay the co. $25.00 and get a prefered stock that is worth $30.00 and if they are paying dividend on BBX you will get the dividend. The company will take the $25.00 and invest it some whear. It looks like they are going to make money as in yahoo news theym are still going to give to charity. This might be a sleeper.

BB&T Corp to acquire BankAtlantic, the wholly-owned subsidiary of BankAtlantic Bancorp (BBX); expects the transaction to be accretive to EPS in 2012 (BBT) 23.34 : Co announced the signing of a definitive agreement to acquire Fort Lauderdale based BankAtlantic, the wholly-owned subsidiary of BankAtlantic Bancorp (BBX). Under the terms of the agreement, BB&T will acquire ~$2.1 bln in loans and assume ~$3.3 bln in deposits for an estimated premium of $301 mln above the net asset value of BankAtlantic at closing. This represents a 9% deposit premium based on Sept. 30 balances. The acquisition excludes all of BankAtlantic's non-performing and other criticized assets identified at Sept. 30. No BankAtlantic Bancorp obligations are being assumed in the transaction. Nearly 90% of BankAtlantic's deposits are core, low-cost funds. The premium paid by BB&T is subject to adjustment based on actual deposit balances at close, but in no event will it exceed $316 mln. BBT expects the transaction to be accretive to earnings per share in 2012, excluding one-time merger costs, and to comfortably exceed BB&T's internal rate of return target. Reverse split is killing the share price. I will keep an eye of them after the split. I believe they tried to get it towards a $1 but couldn't persuade enough big investors at the late summer prices. I think it is a decent bank with growth or possible acquisition potential in the future.

As far as I know they are in decent shape. I spoke to a friend in South Florida who, turns out, banks there. He did not see any apparent problems, at least not what customers would be aware of.

My guess, as to California, and this is pure speculation on my part, is to diversify the shareholder base, which I assume is more regional than national. I'm wondering why they did not stay longer and hit the Frisco area. I'll be curious to see if they do other dog and pony shows in other wealthy cities and suburbs.

BankAtlantic Bancorp, Inc. (NYSE:BBX) today announced that it has completed its previously announced rights offering for its Class A Common Stock and received approximately $11.3 million of proceeds in connection with the exercise of rights by its shareholders. As a result, BankAtlantic Bancorp will issue an aggregate of approximately 15.1 million shares of its Class A Common Stock to participating shareholders.

“As previously disclosed, BankAtlantic Bancorp intends to use the proceeds of the rights offering, together with cash currently held by BankAtlantic Bancorp, to contribute capital to BankAtlantic, its primary operating subsidiary,” commented Alan B. Levan, BankAtlantic Bancorp’s Chairman and Chief Executive Officer. “While BankAtlantic's capital levels at March 31, 2011 exceeded the traditional definitions of ‘well capitalized’ regulatory capital thresholds, BankAtlantic is required to achieve by June 30, 2011 and maintain a Tier 1/Core capital ratio of 8% and Total Risk-based capital ratio of 14%. We are pleased that as a result of efforts throughout this quarter, which include the sale of the Tampa branches, balance sheet restructuring and focused management of problem assets, together with the anticipated contribution of capital, we believe that BankAtlantic will meet the higher requirements of Tier 1/Core capital ratio of 8% and Total Risk-Based capital ratio of 14% at June 30, 2011.”

BankAtlantic’s and BankAtlantic Bancorp’s second quarter 2011 financial results, including BankAtlantic’s actual June 30, 2011 capital ratios, will be released in the normal course subsequent to the end of the second quarter 2011.

While the money will help the Fort Lauderdale-based bank holding company (NYSE: BBX) in its quest to raise capital by June 30 to comply with regulatory demands, it was well short of the $30 million capital raise goal the company set when it announced the offering in early May.

BankAtlantic Bancorp issued 15.1 million shares of Class A Common Stock for 75 cents each to the shareholders that elected to participate. The stock traded at 89 cents the day the company announced the offering, but it closed at 74 cents on Friday.

The company’s controlling shareholder, Fort Lauderdale-based BFC Financial CorpbizWatch BFC Financial Corp Follow this company . (Pink Sheets: BFCF) previously announced that it would participate in the offering but it had yet to issue a public filing disclosing how many shares it purchased.
