A group of TD Ameritrade Holding Corporation shareholders have filed a lawsuit alleging that the merger consideration is unfair.
Under the terms of the definitive merger agreement, TD Ameritrade shareholders will receive only 1.0837 shares of Charles Schwab stock for each share of TD Ameritrade common stock owned. This exchange ratio implied a deal price of $52.23 as of the last day of trading before the announcement. The TD Ameritrade shareholders have also alleged that TD Ameritrade directors have breached their fiduciary duties to shareholders. The shareholders contend that Charles Schwab should acquire the stock for no less than $60 per share. The shareholders further contend that the board is not acting for the benefit of shareholders but rather for their own self interests.
The lawsuit is seeking class action status and shareholders of TD Ameritrade who would like to participate with other shareholders in seeking to obtain a higher price are encouraged to contact the law firm representing shareholders before the deadline. There is no cost or expense for shareholders to participate, and in the event the lawsuit is unsuccessful, shareholders will still be entitled to receive the existing merger consideration assuming the transaction closes. I think it's BS myself. Just go back to my posts just related to DRYS over past 8-10 years alone and TD's system regarding that stock and many improprieties many global investors tried to sue over, mysterious account problems, changes, orders gone that were there, etc... Technology has gotten way out of hand and too tricky. NONE of it is/has been good for the average retail investor despots ads and hype... Now we got ourselves another monopoly but in brokerage industry...

Nothing is free. They still charge for OTC stocks and I see trend happening there as I posted last week. But there will be something done to offset this "free trade" nonsense...

Hi DTG, I let 10% of my AMTD position go today at $49.38. That gave me a LIFO on my last purchase of +47.1% in just over a month. Now, I guess, I'll have to go find out about the potential merger.

I've used both with good experience for decades.
It's nice to see the stock price recover much of what was taken away with the "Zero Commission" wave that occurred back at the start of October. I'll liberate some of the shares purchased during the decline.

Earnings and general business were probably good enough to keep the stock on the recovery path of late. However, I'd not heard a word about the potential of a sale or merger before this news item:

I've done well with the more "retail" brokerage stocks over the last 2 or 3 decades. However, through mergers, etc I keep losing them as investment vehicles. If it happens again here I hope we're left with yet another one to keep as an investment.
The stock price action of the last month wouldn't lead me to believe there's an active potential merger awaiting a decision.

Hopefully the call goes well! I have already taken my profits on my AMTD calls this morning @ 1.00 Not bad from my .30 entry. It won't be long before AMTD gets back into the $50's in my opinion.

It does appear there's some modest accumulation of shares today. Also, there's been significant buying the previous two days at end of day. Maybe the pendulum is starting to swing the other direction.

Very Nice! You are already up a couple of Bucks on those! As long as the market holds up, I think we will keep seeing AMTD inch up as we get closer to earnings. Also I wouldn't mind seeing a couple of analyst upgrades along the way! :) This selloff was way over the top!
My shares bot on the 9th are looking better already.
AMTD slowly climbing its way back up to the $40's. I Hope that we are there before earnings. I doubled down on my Oct 25th $38 calls yesterday! I am holding a ton of these for earnings. If I am right about AMTD this will be my biggest payoff in options for year 2019. I really believe AMTD is undervalued here at $35 per share. My target is $45 prior to October 25th.
I got a message from E-Trade tonight stating that they are going to be charging commissions on OTC stocks. So it looks like T.D. Ameritrade isn't going to lose all of their penny traders to E-Trade after all.

I appreciate that info. I myself am not invested in the company. However, if I would invest in a Big Board AMTD looks like a solid company to me. I am however playing options on the upcoming earnings. I bought Some October 25th calls, and some Nov. Calls. The $38 calls are dirt cheap for October 25th.
I really believe the market over reacted on the zero commissions. I believe the earnings report coming out on T.D. Ameritrade will easily put AMTD back to the mid $40's. I'm hoping to see a very Big Payday on those contracts that I am holding.

In looking back on my AMTD holding I'm not unpleased with it even with the setback on commissions. I looked to see what Value Line had to say and they don't think it will have that significant an impact on earnings.
I trade around a core position buying from the scared and selling to the greedy. It's worked okay for me for a long time. I've traded various retail brokerages over the years and AMTD is my current holding.
