(the "Company"), determined that it had no choice but to cease all operations. The decision to cease operations is primarily attributable to the non-materialization of a market for the Company’s products, the lack of operating capital, the inability to raise additional working capital and the inability to pay creditors. As previously reported in the Company’s Form 10-KSB for the year ended December 31, 2006 and more recently in the Company’s Form 10-QSB report for the three months ended September 30, 2007 (the “September 30, 2007 Report”) ( http://www.pinksheets.com/edgar/GetFilingHtml?FilingID=5555190 ), the Company needed to raise capital on an immediate basis in order to meet its liquidity needs and to maintain operations. The Company has incurred significant operating losses for the past several years. These losses have produced operating cash flow deficiencies, and negative working capital. As previously disclosed in the September 30, 2007 Report, the Company and the holders of its secured debt have reached an agreement whereby the holders of this debt have agreed to subordinate their debt (and their lien on the company's assets that secures such debt) to providers of additional financing in an aggregate amount not to exceed $5 million. However, the Company was unable to raise any capital. All of the Company’s assets, including its intellectual property, are subject to a security interest in favor of holders of the Company’s debentures in the aggregate principal amount of approximately $9.9 million. Under the agreements with the holders of these debentures, such holders are entitled to foreclose on their security interest. While the Company has requested instructions from the secured holders as to their desired course of action with respect to the assets and requested instructions as to the disposition of the assets, it has not been advised by such holders of their preferred course of action. The Company’s Chief Executive Officer and board member, Mr. Frank Galuppo, resigned from all offices with the Company on February 12, 2008. The Company’s remaining employee and executive officer, Mr. J.D. Gardner, the Chief Financial Officer, will be resigning, effective immediately after the filing of this report. All of the other board members. except for Mr. Juan Mendez, have tendered their resignation since February 12, 2008. About Amedia Networks Amedia Networks, Inc. (OTC BB: AANI) provides next generation residential media gateways to distribute and manage high-quality voice, high-definition video, and high-speed data services throughout the networked home. The Amedia residential gateway offers a single, compact, configurable device with the collective functionality of a modem, wireless access point, router, VoIP adapter, and family firewall – all in one. In addition, it features external media storage and a built-in operating system for carriers to continuously develop and deliver new, ultra-broadband applications to the home. The company is led by an executive team with a long and proven history in the voice, data, and telecom industries, and its core technologies have been co-developed by Lucent Technologies, Inc.’s renowned Bell Laboratories unit. Products Engineering & Consulting System Overview QoStream™ Ethernet Switched Optical Networking (ESON) system architecture. A Core Ethernet L2/L3 Switch communicates to Aggregator Switches using standard symmetrical GbE optical signals. The Core Switch interfaces multiple content and service providers over an MPLS-based Metro or Regional network to deliver data, video, and voice content to the users on the access network. Subscriber-to-subscriber intra-community voice communication remains within the access network, but voice calls to a subscriber on the Public Switched Telephone Network uses a Core Switch interface through a standard PSTN trunking gateway, with a standard MCNP/NCS call agent establishing the call. Since the network interfaces are standard optical GbE packet streams, the Core Switch can easily switch these signals to individual GbE Aggregator Switch connections to deliver these services to subscribers through Premises Gateways. Data Networking Applications The general categories of data networking services supported by QoStream™ networks are (1) Private Line Ethernet Services, (2) Transparent LAN Services, and (3) Business Internet Access. Private Line Ethernet Services are Layer 2 frame forwarding services that provide point-to-point interconnection between customer sites. Transparent LAN Services are mult-location services that provide layer 2 frame forwarding connections among two or more customer sites using customer-defined VLANs that are preserved throughout the network. Business Internet Access Services are interconnection services that provide a range of level 2/3 features enabling enterprise customers to connect to IP networks and services, including the public Internet. Voice Applications For a call originated by a QoStream™ subscriber, the PG1000 communicates the signaling packets, including the call-ED and call-ER information, through the network to the MGCP/NCS Call Agent. The Call Agent determines the call is a PSTN call from a specific QoStream network subscriber, using the call-ED information and pre-registration of the QoStream PG1000 subscriber, and it conducts a control session with the Trunking Gateway, the control means and details of which depend on the specific trunking gateway and Call Agent. The Trunking Gateway normally provides a conversion between VoIP packets on the QoStream side to TDM signals on individual trunks on the PSTN switch side. An idle trunk on the PSTN side of the Trunking Gateway is identified and reserved, and the Call Agent instructs the Premises Gateway to utilize the QoStream network connection to the Trunking Gateway, identifying the specific idle trunk for the call, using a pre-provisioned VLAN. The Trunking Gateway passes the call-ED information to the processor of the appropriate PSTN switch, the control means and details of which depend on the specific Trunking Gateway and PSTN switch, and the PSTN switch processor completes the call between the Trunk Gateway trunk and the call-ED line in a manner similar to that resulting from a PSTN incoming call on its trunk side. Disconnection by either end results in a PSTN path disconnection and a disconnection of the call within the QoStream network. Video Applications The video head end delivers Standard Definition Television (SDTV) and High Definition (HDTV) digital video information to the QoStream™ network directly and via video servers that are networked to an Ethernet core switch. One type of video head end is a Digital Turn-Around (DTA) System which receives video content in one form and turns it around to a digital MPEG form, receiving, descrambling, demultiplexing, streaming, and adapting the video channels for the network. Broadcast TV channels are normally delivered to network operators by satellite, processed by the DTA system, and delivered to the Ethernet network as individual single program streams. Each single program stream is encapsulated into an IP frame and into an Ethernet packet with source and destination MAC addresses. Ethernet networks utilize multicasting techniques, with a single copy of the program sent to the network and multicasting copies sent to the destination addresses by multicasting at the various Ethernet switching locations in the network, so that network bandwidth is consumed only where it is viewed by the end consumers. Streaming is the process of addressing the video channels for the appropriate multicast group and traffic shaping the video channels for real time receipt. Subscribers tune to these multicast groups using Digital Set Top Boxes (STBs), which deliver TV signals to the video monitor in response to the channel selection made by means of the hand-held remote control.
