Ok... Who else got their APNX information statement in the mail?

It will be interesting to see what will happen to the share price after the completion of the transaction. I decided to remain a shareholder by keeping the 2000 shares that I had when this transaction was announced.

I believe the day will come when APNX will rise towards its actual value, although I think it will happen organically...

I know my position is small potatoes, but I think I'll make a few hundred bucks here...

I don't know where I got the idea that one would profit $200 on buying 1999 shares at .10 and then receiving the payout of .16482...

The profit would be just over $100 after the commission... Hardly worth the effort, which explains why no one is talking about it...

I am surprised that there isn't more discussion here regarding this proposed transaction. I have gone over the filings with a fine tooth comb, and it seems that you can make an easy $200 bucks or so by purchasing exactly 1999 shares at today's PPS and taking your .16+ cashout. According to the trade logs, roughly half of the trades this week have been purchases of 1999 shares.

The catch is that $200 is all you can make doing it that way. Anyone owning 2000 or more shares will not be cashed out, but will continue to be a shareholder going forward. So it's the old bird in the hand question... Do you take the $200 gift, or do you hold more shares and hold out for the possibility of an even higher PPS...

If you own 1999 shares, the company is going to pay you .16+ per share (per PR)... Then you no longer are a shareholder. Those with 2000+ shares do not get the .16+ Deal...

i dont see how anyone buying today benefits, but i suppose i may be missing something. it looks like they are doing this so they can stop reporting, as they said "being a public reporting company are not justified by the benefits". i wonder if a buy out is down the road, or go completely private....or the dreaded D word.


Step 1: R/S 1:2000

If you hold 1999 shares you get nothing "shareholders owning fewer than 2,000 shares of the Company's common stock on a pre-split basis at the close of business on the record date will no longer be shareholders of the Company"

Step 2: during the R/S the company will buy back all partial shares from anyone who now owns less then 1 share.

Step 3: Forward Split 2000:1

If you own 10,000 shares before the R/S you now own 10,000 shares again

Step 4: Stop reporting to the SEC once sharholder count is under 300 (which it should be after the R/S & F/S) No longer on the Over the Counter BB, may trade on Pink Sheets by broker-dealers.

Sounds to me like the smart play for anyone not holding shares, would be to buy 1999 shares now. You will then receive a little better than .16 per share from the company after the splits are done (per the PR)...

For me, I own exactly 2000 shares, so I guess I should sell one share so that I fall into the under 2000 club that will be entitled to the .16+ per share deal?!?

This is one to be very very careful with. Lots of friends and employees lost their shirts based on the value of this company and the owners claims. All that needs to happen here is for the USPS to pull contracts and the company is worthless. Initial Offering was $7.50 a share and everyone lost except the owner.

Increased fuel prices are passed on as ..

surcharges to the customer. In an improving economy look for the price per share to continue to climb as demand increases.

As for the conversion that is easily monitored through the TA - I am not looking for any meaningful increase in the OS being that the majority holder as you say owns the preferred as well.

Seems logical to me.. I was selling because I was always aware of the dilution that could be caused by the conversion of Perferred because the share count would go up by a factor of 8.. At $0.06 to $0.8 this was still a good risk,, at $0.15 to $0.20 it becomes a fully priced stock based upon fully converted shares.. In addition all perferred are owned by one person who also is the CEO..

As the conversion is at current market values always there is an incentive to convert at low prices.. This year preferred shares were repurchased.. Also there are auto kill and fill provisions if the debt coverage is not maintained and in the past year repurchased perferred shares left the company lean just before the gap up in fuel prices.. Apnx is a nice little airline with a great route structure but the continued repurchase of Preferred shares could lead to forced conversion of all perferred shares due to the lack of working capitol.. Again this might happen and I am not saying it will but as the majority shareholder and the one that owns all the preferred are one in the same,, he has nothing to loose by converting and could either convert or buy back preferred shares at will.. I was selling because of the increase in fuel prices and the fact that perferred shares were repurchased at a time when IMO that the fund would of been better used as a backstop to get thru the winter months of operation without any thoughts about the spike up in fuel prices.. This also was the first repurchase in recent memory.. Hope this get's it straight.. hank..

Last years annual results pr was released on feb 2. We should see it soon. It is going to be a very nice sounding pr based on the results from the 10K. Should generate a lot of interest.
