New Developments!

On September 26, 2003, Dominix, Inc. (the "Company")entered into an amended letter of intent (the "Amended LOI") relating to the proposed acquisitions by the Company of Jade Entertainment Group, Inc., a New York corporation and certain assets of MarketShare Recovery Inc., a Delaware corporation (collectively, the "Transactions"). Jade Entertainment Group, Inc. ("Jade") is engaged in the business of operating an internet search engine for adult entertainment. MarketShare Recovery, Inc. ("MarketShare") is an on-line advertising and marketing company and is a publicly reporting company (OTC BB:
MSRY). The Amended LOI amends a prior letter of intent dated July 22, 2003, as previously amended September 22, 2003, by terminating the involvement of Blu TV, Inc., a privately held New York corporation in a proposed acquisition by the Company. In addition, the Amended LOI includes MarketShare which has agreed to sell all or substantially all of its assets to the Company. The terms of the Transactions provide for the Company to issue to MarketShare and to the stockholders of Jade a newly created Series B Preferred Stock convertible into greater than a majority of the issued and outstanding shares of common stock of the Company. Conditions precedent to the completion of the Transactions include completion of the Company's financial, operational and legal due diligence of each party, execution of definitive agreements and compliance with all applicable regulatory requirements. The Company has made a short-term working capital loan to Jade of $50,000 on a secured basis in advance of any closing of the acquisition of Jade by the Company.

Dominix, Inc. Executes Letter of Intent to Acquire Jade Entertainment Group, Inc. and Blu-TV, Inc.

NEW YORK--(BUSINESS WIRE)--Aug. 11, 2003--Dominix, Inc. (OTCBB: DMNX) announced today that it has entered into a letter of intent with Jade Entertainment Group, Inc. and Blu-TV, Inc., to acquire control of both businesses. Dominix anticipates issuing a majority of its common stock to the shareholders of Jade and Blu-TV at the closing as consideration for the acquisitions. Completion of the transaction which is expected to occur within 60 days is subject to a number of conditions, including each party completing its due diligence review of the other, negotiation and execution of definitive documentation, the approval of the board of directors of each party as well as any required shareholder or other corporate approval, and compliance with applicable regulatory requirements.

Jade Entertainment Group, Inc. is a publicly reporting company that is a developer and marketer of Internet advertising and search services for the adult entertainment industry. Jade has developed proprietary, patent-pending, Internet search engine software, and has developed and owns several adult portal and content sites that drive traffic to adult content. Hope all is well at your household. The events of this past week affected
all of us. I personally initially felt shock and horror. This turned into
a feeling of violation, but I must say after the prayer service at the
National Cathedral the sadness passed and was replaced with a feeling of
resolve. A resolve not to allow the weak elected officials around us to
forget our duty and complete the tasks ahead. While it is easy for us of
the older generation to send young men and women into battle, I feel the
need to participate, to get my hands dirty and to help.

These past few days I felt proud to be a man. Men have taken it on the chin
in the last few decades and like men we have not said too much about it, but
allowed our actions to speak for us. I felt a certain thing in my gut
watching them go into a hell without the need to whine, brag or bring
attention to themselves. They just did their job. While the whiney TV
commentators, two blocks away, were wearing industrial strength masks to
prevent asbestos infiltration, many rescue workers were wearing cheap masks
or no masks at all. I am surprised that the EPA didn't shut down the rescue
effort. Was there really a large amount of asbestos in the WTC buildings?
I understand that asbestos is placed around steel beams in construction to
reduce heat transfer to the steel from fire. This prevents the steel from
failing. While I am sure that in this case nothing could have saved the WTC
from collapsing. Is this asbestos fear (rational/irrational) a metaphor for
what ails us?

Not to be political but I have a certain sense of comfort that Bush has
assembled such a strong team. Powell, Cheney, Rumsfeld all have shown the
ability to hire the best and let them do their jobs. I am sure George
called his Dad for advice. What a great strategy has developed. Good guys
vs. the bad guys with a line in the sand between them. With us or against
us and no middle ground. Give us the terrorists on your soil, destroy their
bases and funding or we will do it for you.
