NEW YORK, April 1 (Reuters) - Ambassadors International Inc AMIE.O, the parent of Windstar Cruises, filed for bankruptcy protection on Friday and said it plans to sell itself to Whippoorwill Associates Inc, its largest shareholder.
Windstar operates three internationally flagged luxury yachts with sailings in the Americas including the Caribbean, and Europe including the Baltic region and the Greek Isles, according to the Chapter 11 petition filed with the U.S. bankruptcy court in Delaware.
The cruise industry has struggled as the recent economic recession caused many consumers to curb discretionary spending, including on travel.
Based in Seattle, Ambassadors said Windstar will operate its cruises as scheduled during the bankruptcy process, expected to take 45 days.
Court approval is required for a sale, which also includes assets from Ambassadors' former Majestic America Line. Those operations shut down in 2008.
Whippoorwill is a White Plains, New York-based hedge fund led by Shelley Greenhaus. It invests in bankrupt and distressed companies, and manages more than $1 billion.
According to the petition, Whippoorwill owns 22.2 percent of Ambassadors' common stock. It plans to provide $10 million of financing to help the company operate during the bankruptcy process.
Friday's filing covers Ambassadors and 11 affiliates. The company had $86.4 million of assets and $87.3 million of debts as of Dec. 1, 2010, the filing shows.
The Nasdaq halted trading in Ambassadors' shares on Friday morning for news pending. The shares closed Thursday at $2.80.

will not give the shareholders anything ("worthless"). So the stock is now extremely overbought and the price will keep falling down to
0.01 ~ 0.03 which could find a temporary bottom! MV is too high now!
well, with Whipoorwill and Paragon affiliates
basically owning virtually all the stock and all the debt concurrently, it looks like this was just a planned inside job takeover orchestrated over
the last year.. with debt being senior to commons,
i would not expect any return on commons, they
were only purchased in order to control the
decision-making of the company.
From the last 10Q, assets / liabilities are roughly equal, and this Chapter 11 was likely
ensured over the course of the last 3 months,
as liablities were likely pushed to supercede
assets. That's all they were waiting for.
I would not touch commons with a proverbial
ten-foot pole here. Convertible debt being senior to common stock in Chapter 11, there will not even be a fight from that class (as there usually is in bk). The runup in share price was obviously not based on reality.

A bunch of Canadians filed an ownership form on March 18th. A total of 300,000 shares for a group of people with the same last name. $300,000 grows to 1.2 million which goes to less than $90,000.
I believe the spike was due to routine low float/chart trading speculation, combined with earnings anticipation.

I have been watching it on and off for years, but never bought in. Someone must have leaked the buyout for the share price to spike, but didn't tell about the bankruptcy filing associated with the buyout.
Trade it if you wish, but be aware that there should be a NASDAQ halt of the stock on Monday, then a de-listing to the Pinks, where it will re-open with a price drop.
It is expected that Ambassadors' stockholders and holders of Ambassadors' convertible notes will not receive any distribution following the sale and these securities will likely have little, if any, value following the Chapter 11 proceeding.

Another big volume day for AMIE...Sold half today @ $3.00, this one is going to be very volatile for a while. Crazy action in pre-markets this morning, people were buying @ $3.75-$3.95???

Carnival to sell Windstar brand to Ambassadors for $100M

NEW YORK (MarketWatch) - Carnival Corp. said Thursday it signed a definitive agreement to sell its Windstar Cruises brand to Ambassadors International Inc. for $100 million. Carnival, Miami, said the purchase price includes $40 million cash and the assumption of liabilities, and Carnival will provide mortgage financing for the remaining $60 million. Windstar Cruises operates three vessels and is a unit of Carnival's Holland America Line subsidiary.
