There's no requirement that an S-1 be written by an attorney. But if the company wants to avoid a lot of trouble with the review, which could become a very long process, it will hire one.
I suppose anyone could work at it for awhile, and become proficient. But an ordinary company CEO or other member of management wouldn't be likely to get it right.
