Let's imagine the company already has buyers in mind. Let's assume those buyers are toxic financiers. STBV has already had dealings with at least three toxic financiers: Knotfloat (now Redwood), Whitehead, and DGI (Ed Bronson's Deer Valley SPV).

Sooooo… What if they'd told STBV that if they could get a Reg A offering, with its free trading securities, past they SEC, they'd buy?

And, of course, dump immediately. That would explain the size of the offering, among other things.
