EYSM - Elysium Internet, Inc

This has been a very active stock lately so I was just starting to take a look at it. Some things with the share count seem a little off.

Here is the time line (and share counts listed)

June of 2010 - The company issued 2,000,000,000 restricted common shares per the 15-12g filed in October 2010 and the Disclosure statement filed on Nov 18, 2010

July 1, 2010 - O/S 2,548,957,595 Restricted 2,077,170,835 Float 471,786,760 per the ibox credit to the registrar

July 16, 2010 - O/S 2,748,957,595 Restricted 2,077,170,835 Float 671,786,760 per the ibox credit to the registrar

July 27, 1010 - O/S 2,948,957,595 Restricted 2,077,170,835 Float 871,786,760 per the ibox credit to the registrar

August 12, 2010 - O/S 3,528,957,595 Restricted 2,077,170,835 Float 1,451,786,760 per the ibox credit to the registrar

August 31, 2010 - O/S 4,208,957,595 Restricted 2,077,170,835 Float 2,131,786,760 from the 15-12g filed in October 2010

On November 30, 2010 the company put out a press release that they canceled the 2,000,000,000 previously issued restricted shares

So if no more shares were issued since August 31, 2010 the new share count based on the August 31, 2010 numbers should be O/S 2,208,957,595 Restricted 77,170,835 Float 2,131,786,760

But the next numbers given from here on out do not match this

On the pink sheets it says:

November 24, 2010 - O/S 2,129,657,595 Restricted 131,299,374 Float 1,998,358,221 (obviously adjusted for the cancellation already) - the O/S and float are a little lower than they should be and the restricted a little higher than it should be)

December 2, 2010 - O/S 2,128,957,595 Restricted 77,170,835 Float 2,051,786,760 from the ibox credit to the registrar - the O/S actually went down from the week before but at least they got the restricted right now the O/S and Float are both exactly 80,000,000 too low based on the August 31, 2010 numbers

January 18, 2011 - O/S 2,328,957,595 Restricted 77,170,835 Float 2,251,786,760

February 14, 2011 - O/S 2,295,624,262 Restricted 43,837,502 Float 2,251,786,760 (so another 33,333,333 restricted shares got canceled)


Some other facts about the share count:

There are currently 5,150,000,000 Authorized common shares

Authorized Series A Preferred Shares - 1,000,000,000
Outstanding Series A Preferred Shares - 270,000

The conversion ratio 1 Series A Preferred Share = 10,000 common shares

Based on that ratio the Authorized Series A preferred shares are equivalent to 10,000,000,000 common shares

The Outstanding Series A preferred shares are equivalent to 2,700,000,000 common shares

The CEO owns 1,012,515,000 common shares and 270 preferred shares as of October 31, 2010




Smash Clicks Inc

On June 1st 2008 US BIODEFENSE, INC (previous name of Elysium Internet, Inc) entered into an Internet Domain Name Purchase Agreement with Smash Clicks, Inc., pursuant to which we agreed to purchase 100% of the domain names Pediatricians.com, Psychiatrists.com and Podiatrists.com in exchange for a Convertible Promissory Note in the amount of $1,000,000.

Scott Gallagher became CEO in January 2008. The company was called US Biodefense Inc at that time

4 months later on April 4, 2008 US Biodefense Inc purchased 100% of Elysium Internet Inc in exchange for stock and a $1,500,000 promissory note to FTS Group Inc

Elysium Internet Inc was a wholly owned subsidiary of FTS Group Inc

The CEO of FTS Group Inc was Scott Gallagher

So Scott Gallagher used one of his companies to pay another one of his companies $1,500,000

It just so happened to become a very active stock lately too - basically the same time as EYSM - around February 14, 2011
