Ok, here are my cards, ladies and gentlemen. You get what you ask for. Don't worry I have plenty of resources posted below. This is based on the post I am replying to; posts like that are part of the reason people continue to take the bait......

This company was reversed into as an easy way to incorporate saving lots of money and filing fees. This happened in June 2010.


Is there any proof of this other than a PR? Such as SEC filing, or Florida Corp name change? No. Also the PR with the "LOI" states

Vaenza, Inc., a Sebastian River Holdings, Inc. (Pink Sheets:SBRH) Company

thus implying that SBRH acquired Vaenza. There is also a PR that states “Doing business as Vaenza.” This is referring to it as a trade name. So which is it? They need to get their story straight for you kids…..

2. The company has recently begun a joint venture with a wind turbine energy company in South Korea.


Does anyone know if Nature Power has a website listing their products or if R.L. Enterprises has a website with a list of companies it distributes for? I can't find a website for either.....

Does anyone know the terms of the Merger with Nature Power? Are they issuing shares to Nature Power? Is nature power issuing shares to Vaenza? What's percentage will Vaenza own for SBRH shareholder/accounting purposes? What about a profit sharing agreement, or is Vaenza only going to get revenue for their product line? I know they are supposed to release a PR soon with this info, we shall see. But 800,000,000 shares is still a lot left in the tank…. No way to really prove if their done diluting or not. One thing is for sure; they have not filed with the SEC for registered nor exempt offerings. But they trade on the pink sheets you say??? EVEN IF THEY TRADE ON THE PINKS they have to file to offer shares publicly, even private corps are supposed to file. Yeah, I know many don’t, but this should be a sign to you as an investor…… Check Out Reg D. The SEC complaint I have linked to below gives a basic idea of what could be happening.
Do you think there is 300 shareholders here? That is the threshold for actually registering shares. Unless they hit $10 Million in assets. Plus you have to deal with 144/145 and blah blah blah......

5. The company that SBRH made a joint venture with has exclusive access to government contracts in South Korea.


??? Link Please. What Joint Venture? Or Merger? Did you know Korea's Metropolitan Communities websites post contract work and amounts paid? So if SBRH does announce a Government Contract, we can prove either way. What about the Air2Water LLC distributorship? They aren’t listed on Air2water's website either.

7. The current book value of this company exceeds its share price about 3 to 1.

This is fact, Good Calculation. However, it is questionable based upon the listed assets, especially the land value? What land do they own? I don’t want to go trying to prove either way if they own the land in Korea; its way to complex for just researching a penny stock, but that address on their website is occupied by Jangwon Rent Car.

8. A contract over 1 Million dollars would justify a share price approximately 5 times the current one.


What product are they selling? The copied brochure from WePower? The "SOLutions" trademarked energy platform? Which country is it trademarked in? Not in the USA or Korea; unless I am missing it? Don't worry I have linked to plenty of sources below. Does anyone know anything about the SOLutions product other than the generic wording on their website.

It will be interesting to see if they actually apply for the Korea Solar Expo. The list of exhibitors will be up soon after registration closes on Nov. 30th. Cost is $3000+ depending on the booth type. Do they actually have a product to showcase for the world? We shall see if they are on the list soon.

Why didn't Vaenza go public in Korea; and then offer an ADR in the US on the pinks like some other foreign companies? They could have raised more money and been less suspicious to investors who do their homework.

It is important to note that the website changed from .com to .net recently; and is now registered under godaddy.com (USA domain registrar) The .com site was originally registered to a Korean Woman through a Korean Domain registrar. The okpanda@hanmail.com is a generic email through Daum, similar to a Google gmail account. Why not get an @Vaenza.net address through GoDaddy. You get one free, with a hosting account. I know personally, as my websites are hosted through GoDaddy.

Who is Dr. Sang Gil Oh??? The only search results you get are related to Sebastian. No other companies come up, no award pages, no blogs, no linkedin profile, nothing? Anyone got anything with this guy?
As for the Chong Lee name, it is found related to several other penny stocks including EESO & GCHK. Chong Lee is the name associated with Korean Companies that EESO & GCHK have released PR’s about working with. Was this guy behind the R/S’s and dilution with these also??? I haven’t looked that far. But In my opinion if someone were to seriously look into this name you will find similar chart patterns, PR’s and websites. I know that’s my opinion, and if someone is to look into it and prove it otherwise, that’s great.

Guys I'm not trying to bash seriously. I have done my homework on this stock and am presenting my findings with sources to back it up. I have no position here, I AM NOT SHORT OR LONG THIS STOCK. I DO NOT work for a market maker/broker/advisor/analyst or any person with ties to SBRH. I am strictly sharing information with potential investors so they can make their own decision.
