As far as I am concerned we just exchanged officers who seemed to be mostly interested in benefiting themselves from their position in Medinah for another set of officers. This BOD has demonstrated to me that they will make the same decisions as the previous officers, decisions that will financially benefit themselves to the demise of our investment.
“The Board of Directors passed a resolution on March 1, 2017, to compensate Board Members and Corporate Officers with a total of 1,000,000 shares of AURYN stock. That compensation is for corporate governance through the anticipated existence of the Corporation.”
I believe this decision to pay this compensation contravenes the by-laws.
Section 9, Compensaton: By resolution of the Board of Directors, each Director may be paid his expenses, if any, at the attendance of the Board of Directors and may be paid
a stated salary as director or a fixed sum for attending each meeting of the Board of Directors or both. No such payment shall preclude any Director from serving the Corporation in any other capacity and receiving compenstion thereof.
What is missing in all this is full disclosure, which has been true from past directors.
1. Where can I find where the BOD has stated the salary of the director.
2. Where can we find records of travel which would justify the amount paid for his expenses. Is there a stated sum for attending each meeting.
3. How many meetings have been convened.
Gary Goodwin was at the helm when millions of shares were illegally issued. Should he not be held somewhat responsible for a failure to carry out his fiduciary responsibilities? I don’t think he deserves one single share of Auryn must less the compensation he has received.
