To echo on this.

ESW owns all HIPP shares, which I believe were rolled up into 1Million of ESW on another line item of insider owners of UPLD.

HIPP shares do not exist anymore, but are 1M ESW holding in UPLD.

ESW separately has another 2.8M in UPLD.

Chapter 11 was filed to protect shareholders and carry on as a company. Chapter 13 would have destroyed shareholder equity.
