Men’s lifestyle brand Gents has a new parent company in Ridge Capital Partners. The New York-based private equity firm has acquired Gents, which the brand announced on Tuesday along with its relaunch.



Joshua Reed founded Gents after serving at Gilt as Men’s Public Relations Director and at Calvin Klein as Director of PR. With the acquisition, Reed will serve as Gents Chairman of the Board and will remain active with the company. In addition, Gents Advisory Board Member Ryan Fishoff will lead the brand as Managing Partner, effective immediately, and Gents President/Creative Director Trey Alligood will remain with the brand as a consultant.

Wendell Brown, former Senior Fashion Editor at Esquire and former Fashion Editor at DNR, has also joined Gents as Creative Director at Large.

“Josh Reed’s vision for luxury fashion has come to life in Gents,” said Fishoff. “Both Josh and Trey have done a tremendous job building the brand and laying out a great foundation for future success. The Ridge team is excited to take it to the next level. Wendell Brown has a unique talent for men’s style. We’re fortunate to have him aboard and are excited to grow Gents into one of the best contemporary menswear brands.”

Gents launched in November 2012 with luxury baseball caps and apparel. The brand also participated in New York Men’s Day in 2014 alongside David Hart, J. Lindeberg and Carlos Campos among others. Gents plans to expand at the retail level and continue expanding its collection beyond caps. Brown’s vision for Gents involves growing the brand’s collection and introducing accessories and luxury athleisure.

Gents is available at over 200 global retail doors including Nordstrom, Saks Fifth Avenue, Bloomingdale’s and Fred Segal.

Item 8.01 Other Events



On June 1, 2017 we entered into a Letter of Intent (“LOI”) with Gents Group, Inc. (“Gents”), a men’s lifestyle and fashion company, regarding our prospective purchase of substantially all of Gents’ operating assets and certain liabilities (up to $150,000) in exchange for up to 10,000,000 shares of our common stock. The number of shares of our common stock to be issued would be based upon the agreed to value of the assets being acquired as determined at closing.



As part of the transaction, we would enter into a 4-year employment agreement with Gents’ managing partner, Ryan Fishoff, who would become our Chief Executive Officer (“CEO”). Robert Gayman, our present CEO, would continue with us in his present capacity as Chairman of our Board of Directors and as an employee and Lawrence Roan, a current director and employee, would continue with us in the same capacities as well.



The LOI has a 45-day term which is subject to a mutual cancellation and extension option. The term, as such may be extended, is subject to a corresponding exclusivity period during which Gents may not approach or enter into similar discussions with alternative buyers.



The LOI, with the exception of the exclusivity provision, is non-binding. Neither party is obligated to proceed with the proposed transaction or under the proposed terms. The LOI solely represents an indication of interest. Legally binding obligations with respect to the proposed transaction will only arise upon the completion of due diligence and execution of definitive agreements. Accordingly, no assurance can be given as to the completion of the asset acquisition or, if completed, the final terms thereof.
