I've been wondering about the vote count too because it was very strong in favor of the company's preferred vote. I am not an expert, but a partial explanation may be that many shares are in the hands of people like Johnnie Williams, his friends, the guy who started Roskamp, etc. I once heard how many millions just Williams alone had and it was tens of millions of shares. So all those kinds of folks would probably vote FOR the incentives, etc.
