when negotiations are accruing if you don't have access to financing already you hand is not as strong.
The S-1 has not been registered yet with the SEC from CSC.

My feeling is that Kim is in some talks (Merger or Buyout)and needed to put in place first the financing to strengthen his negotiations.

Also remember a form 4 was filed ( shares for a deal)
