The alternative is that mgmt made a foolish and easily avoidable mistake and were unable to recognize it. Tom chose to vocalize his disappointment. Someone said they thought it caused the SHM to be shorter.

That does not add up at all to me.

Normally a company would have a deal in place that requires X amount of new authorized shares and they would make the market aware before the vote. They're doing it backwards and expecting the same result.
