As of June 30, 2014, the Company’s outstanding common shares and its commitment to issue common shares, excluding warrants valued as
derivative obligations, exceeded the authorized number of common shares by 135,512,048 shares. The fair value of these shares of $270,000
has been reclassified as a liability at June 30, 2014.
