Why? They clearly indicated their intentions with the 14% Notes.

This line here says it all:

The Replacement Notes are secured by the assets of the Company



They obviously had put much thought into how they would extract the IP from the dead "Evolucia" which was just a name change to hide the past failures as "Sunovia".

Guess we know why the Col never got a straight answer about "signage" on the pretend manufacturing facility lent to them by an insider? who happened to own the empty building.

I'll stop here because if the SEC would get out a pencil and paper even they would be able to follow the dots of this operation.
