The EVRM Origin…

A company trading within the market functions as two separate entities, but exists as one. Observe…

Entity #1 – The Operational Entity
You have the ”Operational Entity” where the assets exists within a company that makes the company what it is and is the primary basis and vehicle used by the company to generate revenues. This is generally in the form of a product, business, or service that’s offered to the public to buy.

Entity #2 – The Stock Entity
You have the ”Stock Entity” where the company exists for a variety of reasons to better position the company for growth. These reasons could vary to selling shares to raise capital or using the company’s shares as leverage to help finance the company. Other reasons could be to use stock to pay off debt, make acquisitions, pay employees, advertising, etc.

What Jonathan and Richard did was to move 100% of their Assets that were over in SEVM (Evermedia Biometrics and STS)… the ”Operational Entity”… over into its new ”Stock Entity” of EVRM. It’s a little confusing because they left behind 100% of the ”Stock Entity” of SEVM where it originally was and SEVM basically exists now as a shell which trades on the grey sheets. Jonathan and Richard had zero ownership of the ”Stock Entity” of SEVM, but together they owned the assets that made up the ”Operational Entity” of which were the assets.

In doing this…

The 100% transition of the Evermedia Biometrics assets was moved over into EVRM first a few months back. What I think is also a little confusing is when they mention the STS Acquisition in terms of 80% of SEVM. That 80% of SEVM “actually” represents 80% of their STS assets or again, their ”Operational Entity” that was over in the ”Stock Entity” of SEVM and not the ”Stock Entity” of SEVM. Technically speaking and still, they own both the 80% and the 20% of the ”assets” that makes up the ”Operational Entity” that were originally in SEVM. So basically, EVRM and their management own 100% of the STS assets.

With SEVM, what’s left is the shell or the stock entity with no assets in it of which the shell is owned by someone other than Jonathan and Richard of which they never had any control over. That is one of the reasons why they made the decision to move on into EVRM of which they have control of. You wouldn’t drop huge news of growth into a company that you owned the ”Operational Entity” as the assets of growth, but had not any ownership of the ”Stock Entity” would you?

That was a valuable lesson learned for those guys which was bad for those SEVM shareholders, but good for us EVRM shareholders. Now read the entire post below to put things into a better perspective to understand how EVRM have evolved into what it is today and why Jonathan and Richard was given no other choices or options to move forward except to move their assets into EVRM because of what happened to the SEVM ”Stock Entity” because of them having no ownership and control over the ”Stock Entity” of SEVM:

So, from the past, EVRM has evolved into what it is today. With the acquisition of STS, the two companies will act as one entity to file consolidated financials, but operate as two separate entities from their perspective locations. This means that Jonathan will continue to operate out of his New York or Boston locations. From a previous article, we know that Jonathan was also in the process of getting another office set up in Johnstown, PA:

It was also confirmed in one of the The True EVRM History links above by Jonathan Sym that there are three offices for STS/Evermedia. The main office is in Pittsburgh, PA which is also where their research and development takes place. Jonathan in the past had invited anyone who was interested to visit this location and see for themselves the products they are developing. I have not verified to see if that invitation is still open for people. They have other offices located in Texas and Boston. The office in Texas is simply the home where Richard Weitzel lives and works out of which is also the address he used on certain documentation to facilitate the receipt of certain feedback. The Boston office is basically used for administrative purposes and has about 3 employees.

The above is how I believe things should be viewed for what transpired with EVRM. If the above do not answer your questions, then I humbly ask that you contact the company yourself or patiently wait until of more is released for further confirmation and explanation.
