Optimism is fine but it's misplaced.
Yes, I do know what is going on with the company. You should too as you can read the last PR.
Here's a few things I want to point out:
(1) If this guy had any real information on what was going on it would have been stated in the last PR. What he did instead was write one small paragraph on the name change (which is mostly pointless), 6 paragraphs that he copied and pasted about the DEA and rescheduling of marijuana and the last small paragraph was about poor financials that are coming.
(2) The nursery is up for sale/lease which means there is no one actually growing medical marijuana at this facility. You don't put up a 'for sale' sign on something that is already occupied. Right? Pretty simple.
(3) There not going to grow hemp in there because there is no money to be made. So, if you don't grow hemp, then what is the alternative? That's right, medical marijuana. However, without a license, he needs to get someone. There are only 22 licenses in the state of Florida that can grow legally. 2 of them are done with him. That means there is only 20. And I can bet the farm (pun intended) that the rest have been contacted in some way, shape or form. Or they will find out the hard way that this place is contaminated.
(4) The Fluent lawsuit just doesn't make sense. Let me explain:
When Fluent came in to buy up $300,000 worth of CBD from CIGN they took it to their facility to process. In the process, it is alleged by Fluent that it contaminated their machinery and factory. It then was discovered that the medical marijuana plants growing at Homestead all tested for heavy metals.
Fluent and CIGN tried to work together to resolve the issue and Fluent gave CIGN/MF 6 months to remediate the facility. They could never figure out where it was coming from, nor could they get any plants not to have heavy metals in them.
Fluent called it quits.
CIGN/MF sued for breach of contract.
Now comes to where I don't understand something. When Fluent claims the CBD first purchased from CIGN was contaminated and ruined their facility, why would they make that up? They didn't sue CIGN/MF for that, so it wasn't like they were trying to get away with a payout. What would be a reason to even make that claim when there is no benefit?
Then comes the fact that Fluent dropped a quarter of a million dollars to grow medical grade cannabis at this facility. Why would Fluent then claim the cannabis plants growing there had heavy metals as well? What would be the point? Fluent didn't sue the first time with the purchase of the CBD and then they didn't even sue for the heavy metals in the plants! They simply decided that the facility was no good and terminated the lease.
What would be the reason to claim contamination in a facility that they dropped a quarter of a million dollars to use, not sue and just simply lose their investment - not only with upgrading the facility but zero revenue as well?
It doesn't make any sense.
And lastly, no one is talking negative about this guy just for sport. His terrible character is his own doing.
(1) There is an open lawsuit against him for stealing $15,000 on 4/9/2024 for failure to deliver goods and/or refund the money.
(2) He grew marijuana in a facility that he was told by the landlord/mortgage holder not to do but did it anyways. He then dragged this couple that sold him the property (mortgage holder) into a lawsuit. You should read the deposition from TNT Real Property who first leased the property to him then sold it to him.
(3) How many times has this guy lied to us? There are numerous times he kept claiming things that turned out not to be true.
Odd that Feldenkrais said he submitted for a name change months before the CE was put on, so he would’ve known back then there’s missing “corporate docs”.
For those of you that still follow CATV. Keep the faith. Despite what these haters say, they ultimately have no clue what is going on with the company. They continue to assasinate Michaels character as if it were sport. Watch and learn. CATV will rise again; with integrity and mass effect. Stay tuned.
I think you missed when I said:

How can you have that but claim Fluent didn't have contamination? Contamination didn't just show up the day Fluent signed the lease, right? That's a little absurd.
Also, CIGN/MF have lab tests. They also tried to remediate the greenhouse. If there was no contamination problem, why go along with it?
Does CIGN and MF admit to contamination. I was under the impression that those facts are not agreed upon.
Fluent never claimed that the soil was contaminated (the soil was brought in and put into containers - the whole nursery is on concrete).
In fact, nobody knows where the contamination came from. There were guesses (thoughts) that it was from the rainwater dripping from the trusses of the building. And there is the idea that it is actually airborne.
The only main argument is whether contamination was present before Fluent was there and during the tenure of the nursery, who's responsibility it falls under, and whether CIGN should get paid for their labor.
And, in my opinion, it was there before and during Fluent's time. Feldenkrais, in my opinion, defrauded Fluent with making it out to appear the nursery was suitable enough to pass DOH.
Fluent has proof that the hemp Feldenkrais was growing before they arrived had heavy metals in them from the COA's. Not only that, but one of Feldenkrais's own employees during their deposition admitted that after Fluent left, they did a hemp test run and it turned out to be contaminated so they quit. That was 2 years ago.
Also, Feldenkrais was never using any hemp from the farm for their so called "products." Why would you not do that?
While some CIGN claims in their lawsuit are good, I believe Fluent has a stronger position. They are also counter-suing CIGN, CIGN Real Estate and Michael Feldenkrais.
There are two premises I believe Fluent needs to make a point on to win the lawsuit:
(1) Contamination (and subsequent cover-up if there is one) before and during the tenure of the nursery.
(2) Convincing the courts that, according to the service agreement, CIGN was to only be paid for their output of product. If no output was produced, then why pay for the services of CIGN?
Do we know whether the soil on the farm was actually contaminated with heavy metals or instead only claimed to be contaminated by the defendant in the lawsuit?
Of course he did.
He'll have to drop it by another good amount to even have someone look at it. The site needs to be demolished and rebuilt. That alone cost a massive amount to tear down and then rebuild (if so choose to do). He claims in the advertisement for sale that it's cannabis turnkey. That is not true at all.
On a side note, the stock hit .0007 .... like I said it would a few posts ago.
Optimism is good. But reality is better.

People are doing a great job everywhere calling this guy out. It's only because of all the negative heat these last weeks that he came out and said something. He knows this is all garbage!

This is a classic pink stock move.... when you have nothing going on you write about things going on with the outside world. This is exactly how a fake biotech works. Keep posting about what could happen. Who cares about DEA and rescheduling! It means nothing to a company who can't even grow hemp.
Remember folks, he's in a massive lawsuit. Fluent, in my opinion, is fighting back great and has a stronger position. I believe they are also trying to "pierce the corporate veil" and go after him personally.

There's a reason why he wants to turn this into a "biotech" company. When it's a biotech you can say anything you want because it's near impossible for average investors to validate anything.
As I have said in the past, when someone calls themselves a "chairman" of a one-person company it generally fails without question.
And for those that keep questioning (1) why work to remove the CE and (2), why start a name change.... it's pretty clear why anyone would want that - dump shares and pretend to "move forward."

You know what I found odd? I went back through some of the depositions from Feldenkrais. When asked why he purchased this particular ticker he told the court that he bought it because of how much volume this thing had for a dead ticker.

A couple of reasons:
It's my only one left in the OTC. Don't "gamble" much but once in a while something catches my eye. I'm sure I will be done for a little while after this.
There are way to many people who don't look deeper into things. Like you said "so much time." Taking a few minutes of my day to write and share is something I do just because. I want everyone to see the other side of things.
Florida and medical marijuana (or hemp) is quite a new thing here. This had potential (if done right) to start here and grow nationally. Feldenkrais is just not the right person to do it.
And lastly, this is quite an interesting read. It's always good to learn how to read, interpret and formulate opinions.

Just an FYI: Apparently there was a Convertible Promissory Note Purchase Agreement.
Usually these convertible notes are not good. More dilution.

I wasn't sure if, in fact, someone bought into this nursery. I'm glad they didn't.
As I mentioned in a earlier post... There were negotiations between Feldenkrais and Cookies Florida in January 2023 to grow MMJ at this facility. It is now confirmed that they backed out of the deal and realized what a mess this "operation" and facility really is.
Who is going to buy this nursery? Certainly not someone who grows cannabis. So, who is going to buy an $8 million dollar nursery? For what? To grow lemons? Nobody. Nobody is going to buy or lease this for 60k a month. This sold in 2021 for $2.75 million. Now it's $8 million?
This guy needs to reach out to me. Or at minimum needs spiritual guidance in his life.

I still don't understand how it was an obvious scam. Even the CEO of Fluent said he didn't think Feldenkrais intentionally failed at growing hemp. There was nothing "cardboard cutout" about the operation. It was real with real components.
But Feldenkrais is a terrible business person with a sprinkle of shadiness thrown in. And, yes, I suppose he did deceive fluent with a few sleight of hands about his "operation." And the shareholders as well.
I don't think Feldenkrais scammed us. But I do think he fraudulently held himself out to be something it wasn't with Fluent. And he got busted for it.
I really believe that Fluent has the stronger position here. I want my money back but I would like to see Fluent win.
(1) Paragraph 4 in the Service Agreement states:Compensation and Terms: The contractor shall be paid for it's services on a per plant output basis. Output means produced. CIGN never produced a single, sell-able plant. How can you charge someone when nothing was ever produced?
(2) Contamination at the facility predates when Fluent was there. There is proof of COA's that have heavy metals in them from the hemp grown by Feldenkrais.
(3) Fluent was never truly in compliance with the Department of Health. The mortgage company prohibited the use of the facility as a medical marijuana grow operation. The contract with CIGN and the mortgage company would have made Fluent not in compliance for the growing of the plants. Fluent's lease agreement with CIGN should be voided as two lease agreements were in effect at the same time.
(4) Fluent CEO stated that he believed the hemp products he tested at the homestead facility were made from the hemp grown on site. He later learned that was not true. I believe him when he says this. I believe Feldenkrais used a sleight of hand to convince Fluent to use their facility.
Learn the lesson and move on. It was an OBVIOUS scam years ago.

In my opinion, Fluent has the stronger position in the lawsuit.
(1) Fluent was out of compliance the whole time with the DOH and therefore didn't have a right to grow at Homestead in the first place. Feldenkrais deceived Fluent.
(2) Feldenkrais covered up the contamination. The hemp crops before Fluent came in were contaminated and then when they did a test crop after Fluent left the hemp plants tested for contamination again.
He "claims" revenues were $454,000. From where? From his obscure websites and non-existent products? And operating expenses totaled $364,000. Really? Your operating expenses were over 75% of your revenues? Over $30,000 a month in expenses? From what? There is nothing going on!
Check out one of his websites called GetMedicated.com... If you go to where you can buy hemp water and try to purchase the product it says "one bootle".... I guess the spelling of bottle correctly isn't important.
But goodwill is $11,000,000 in tangible and intangible net assets? Really?
Never says a peep about raising the authorized shares to 10 billion again.

My strong opinion is that Fluent should have never been there and was in fact out of compliance with the DOH because they did not have permission to use that facility in the capacity it was used in. How can CIGN sue for breach of lease when the lease was voided from the start in my opinion?

He didn't need financing. That's a problem to me. He should have had enough to handle what he needed in the months before the CE. He wasn't building a technological device. He was selling hemp and weed. LOL
Trading has no bearing on running a business. Limited trading means nothing to me.
He should have been putting out information (PR's). The thought because there is a CE everything stops is silly to me. That right there was a big red flag to me. A real business (and a real businessman) would keep putting out information. In my eyes, no PR's because "it was pointless" means he was just trying to pump the stock. That's because he had absolutely nothing going on.
He is a terrible business person.
And the fact that he upped the A/S to 10 billion again and did not put that in his financial report is a huge red flag. He still says A/S is 5 billion.
I've actually been very objectively critical even back in spring 2021. So much so, that I got reported by the pie-in-the-sky folks on ST and my account got revoked. I've been very hopeful all throughout CE because we were "stuck" and I understood financing, limited trading outside US, and not really wanting to put out much.with no real audience and was looking forward to coming out with almost 3 years of gameplan to execute and free trading. Now, we're back to the sleight of hand with name change, more details on lawsuits, etc. that it's almost laughable how poorly this whole thing is managed. I should've cashed out 100% instead of 50% back in the mult-penny days.

I like to think the lawsuit with Fluent broke the camels back. Along with all the information on Feldenkrais, the run down farm, and the non existent "product." Then the new lawsuit with GEM Containers and how he stole money.
It makes me happy as well that the word is out and people are telling other cannabis growers to stay clear.

Just look at all of the acquisitions that were a related party transaction and the related party is Feldenkrais. That is a scammer.

Happy 5 months of no CE and almost 5 months since name change request filed. Proving to be inept regardless of being "in jail" here. Sad story continuing.
As much as I am negative here (and will continue to be), I don't believe Feldenkrais in anyway is a scammer still. And I think at the core of his being, he is a good person.
I've seen him write texts saying "Happy Fathers Day" to the CEO of Fluent. I mean, does that really spell out a bad person?
I truly believe that Feldenkrais wanted to run a successful cannabis company. The problem is, he is a terrible businessman from what we've seen with a little bit of shadiness sprinkled in.
With that said, I'm sincerely not convinced that we won't ever see this over a penny again someday. Just because someone at first seems like a bad businessman doesn't mean he can't turn it around.
As for the lawsuit with Fluent; I am not sure who will win. Technically, Fluent should have never been there due to a prohibition of leasing to a marijuana grower. But then again, did Fluent not uphold there end of maintaining the facility? But then again, was the contamination always there and CIGN's fault? I haven't come to my final conclusion on who seems in the right.
As for the lawsuit with Global Equipment & Manufacturing; This is just terrible that Feldenkrais won't give him the money back. Theft is theft. This looks very poorly on him. Another notch in the "bad businessman" I suppose.
At the end of the day, I believe, he ruined his name and reputation in the cannabis field. But that doesn't mean it's permanent.

As of 4/9/2024, Feldenkrais is yet again in another lawsuit.
He is now being sued allegedly for the refusal of returning payment and/or the shipment of goods bought by Global Equipment & Manufacturing for three (3) modified refrigerator containers from Can-It Industries.
I guess he can't even sell Can-It Pods honestly to people apparently.
There is an email attached to the complaint as evidence of correspondence between the president of Global Equipment & Manufacturing to Feldenkrais demanding a refund of payment for the containers never shipped.
The last line of the email states, "Do the right thing Mike and pay me back the money you rightfully owe me."
This is getting sad.
I think everyone should read the documents (depositions) from the lawsuit. What great insight into this whole "business."
They never had any big sales when they started growing hemp. Just "little" ones apparently. Too much hemp on the market apparently.
The farm is done. It hasn't been operational for years. After Fluent left, they tried to grow a test crop of hemp. It was contaminated. That was the last of the farm.
This guy apparently was in negotiations with a company called Cookies Florida (very big name MMJ grower out of California) to grow cannabis at the facility about a year go. However, it appears that an associate from Fluent reached out to an associate of Cookies Florida and told them not to do business with Michael. Called him a "shady Miami actor." LOL

I would assume by now most honest, hard-working and prosperous growers would not want to do business there.
There is a post on Stocktwits that someone said "It also isn't true that all mortgage companies have to approve marijuana facility use in all instances."
I have no earthly idea what they are talking about. They clearly did not read nor listen to the depositions of Michael Feldenkrais or Teresita Otero (the corporate representative) from TNT Real Property (the mortgage company).
It was clearly stated (said in court) that TNT Real Property testified that Feldenkrais had never notified them he leased the property to Fluent to grow marijuana AND that it had remained steadfast about the mortgages prohibition against growing marijuana as well as refusing to remove the prohibition when Feldenkrais proposed subleasing the facility to a grower of medical marijuana.
How much clearly does that get? It was an illegal act.
Then this person goes on to say,"Obviously no one here is privy to the specifics of the mortgage (but they are public through the local recorder in my state) so jumping to such a bearish conclusion is anything but objective."
CIGN is suing Fluent for breach of the leasing contract but in turn CIGN breached the contract by having a lease agreement in the first place with Fluent!
How can Fluent's lease at the same time there was a mortgage contract that prohibited a lease with a medical marijuana grower with CIGN be valid?
The damages stated by Feldenkrais never made much sense to me.
$1.6 million in damages but looking for $18 million? It always seemed high as he was looking to score so he could pay off the mortgage and get rid of the prohibition.
It was also always strange that he kept putting up the greenhouse for sale.

3. Got a loan that said he couldn't grow medical marijuana in the structure he mortgaged but did it anyways
4. Hired a company called "Karma snacks" that apparently "failed" at delivering so he stopped using them
5. Failed the U-Pick Hemp weekend thing
6. Failed farm
7. Failed restaurant
8. Said the hemp water would be in 5,000 stores - never happened - dead product
9. Said 20-40 million in revenue with hemp the first year - never happened - dead product
10. Said he changed the name 3 years ago - that was a lie
11. Said he was growing 6 years prior to getting this ticker - couldn't even get a good batch of hemp to grow LOL
12. Said he used his own hemp for products - that was a lie - he was buying from a third party
Tell me again what exactly garbage is?
Correction: It was not the landlord... but mortgage that prohibited it.
