MIND Technology Announces Completion of Preferred Stock Conversion
THE WOODLANDS, Texas, Sept. 5, 2024 /PRNewswire/ -- MIND Technology, Inc. ("MIND" or the "Company") (Nasdaq: MIND; MINDP) announced that it has effected the conversion of all shares of its 9% Series A Cumulative Preferred Stock, $1.00 par value per share (the "Preferred Stock"), into the Company's common stock, $0.01 par value per share. On August 30, 2024 the Company's Board of Directors elected to proceed with filing the Certificate of Amendment, which provided for the conversion of each share of Preferred Stock into 3.9 shares of common stock, with the Delaware Secretary of State. The amendment had been approved by the holders of the Preferred Stock at a virtual special meeting on August 29, 2024. The amendment and the resulting conversion was effective at 4:01 p.m. Eastern Time on September 4, 2024.

re MIND($3.12): I'm skeptical if you'll get a favorable earnings comp...
Being that the preferred/common swap was just approved, in my opinion next week's earnings report will still be dinged by the preferred dividend expense, resulting in (maybe) another breakeven quarter.
Now, of course, real investors will know how to adjust the report for the current post-approval share structure...but I think the headline number will be underwhelming at best.
Hopefully in the earnings PR management endeavors to explain to investors how the earnings/EPS would have looked after the preferred/common swap...

I think MIND($3.30) will be under pressure for awhile...
The preferred shareholders now have $12.87 of MIND shares ($3.30 x 3.90) for each share of preferred that they used to own. Looking at the historical chart for MINDP, the stock has not traded consistently above that level since 6/22. I think former preferred shareholders will be happy to lock in these gains around current prices (and lower), thus pressuring MIND shares...

On page B11 in Saturday's Wall Street Journal, there was an interesting article titled "Everyone Needs Space At the Data Center". PSIX investors should grab a copy as the article paints a very bullish LT scenario for the data center business. "Today, space in data centers is increasingly hard to come by." "An artificial-intelligence land grab is turbocharging demand." And...
"Investors are pouring capital into data centers, especially as other commercial-real-estate bets have soured. Blackstone said in July that it has a prospective development pipeline of data centers valued at more than $70 billion. Amazon plans to spend $100 billion on data centers over the next decade."
All of this dovetails nicely with this quote from PSIX's last earnings PR:

Investors are extending their rotation from shares of mega-cap tech companies to small-cap stocks.
The Russell 2000 is up more than 2% midday Tuesday, on track for a fifth consecutive session of gains.
The small-cap index is outperforming the Nasdaq Composite over the last five trading days by around 10 percentage points. That would be the widest margin of outperformance for the Russell 2000 over the Nasdaq Composite during a five-session period since December 2000, according to Dow Jones Market Data.
The S&P 600 small-cap index is also on pace for its highest close since 2022.
