Hope all is well.. noticed you dropped out as moderator also.
On another note how can PWEB be having problems getting merchant processing to charge its customers when they own a merchant processor for a decade or so; Intellipay? Is it chargebacks from customers. I know companies lose and are limited when they get too many chargebacks and complaints, Why does not PWEB flesh this out and tell in detail the situation here?
Generally when everyone is happy and making money the merchant processors raise the merchants limits and other merchant processors are trying to get their business... correct me if im wrong.

After 15 Years you figure PWEB pacific webworks would come up with something that gets their stock worth more than a couple pennies.

RE: Pacific Webworks PWEB Shareholders Lawsuit hopefully PWEB Pacific Webworks Corp gets the money into their account from a win in the Pacific Webworks Shareholder Lawsuit. Seems as noted long before the defendants have already positioned themselves after the lawsuit was filed. Your post sounds good in theory.. An #SEC #Utah Attorney General and #FTC investigation is needed in my opinion.

Pacific Webworks PWEB 10Q & Website Design at http://www.sandjheating.com/About%20Us.html in my opinion looks like technology from the 1990's, most people would agree, correct me if Im wrong.
Compare that with $1 a month 2015 designs from Godaddy here https://www.godaddy.com/websites/website-builder
and red flags start to shoot up everywhere.
How does PWEB get $70 a month for that?
$1 a month would not work for the PWEB business model, right?
I have a call into the plumbing company for their updated thoughts on the site and comparison.
Similar to comparing Paypal and Intellipay ( a near 2 million goodwill???) How can they be having a merchant account problem of not being about to charge cards if they own a merchant banking card processing company with nearly 2 million goodwill????
Per PWEB "General and administrative expenses increased for the 2015 second quarter and six month period compared to the 2014 interim periods due to an increase in chargeback expenses."
and
"...we have a backlog of billing that cannot be processed until sufficient merchant processing is obtained. The Company currently has $1,330,767 in overdue billing that is on hold until we secure additional merchant processing. We expect to obtain merchant processing that will enable us to bring the Company’s billing current in the next 30 to 90 days." (how can this be if they own a merchant processing company with a goodwill value of nearly 2 million that offers merchant card services to other business??)
Chargebacks come from unhappy people.. When a company gets alot of them they merchant card processing companies start to freeze the account so no more charges can be made by the business.. HAS this happened to PWEB??
My opinion is the PWEB current revenue coming from MediaBuilderTools.com and Work At Home websites. Which they do not account for in their SEC filings by the way.

Its styled Derivative Lawsuit because the shareholders do not believe that Lance Bell (current CEO) will sue his Father, Brothers and Friend (Former board members and Managers) on their behalf... Plain and simple.

You crushed nothing.. your speculations on this stock do not transpire. Last time the 10q came out you said it was a multi bagger explosion going to happen... I said it would go to a penny and it did.. Penny or less coming soon in my opinion.
This company needs an SEC, Utah Attorney General, INTERPOL, FTC etc investigation... In my opinion..

PWEB Pacific Webworks Lawsuit these are serious allegations cast upon the defendants.
Excerpt from complaint:
Including "47. By usurping the opportunity, Defendants placed themselves in a position contrary to their fiduciary duties of PWW and for their own personal gain, and violated their fiduciary duties and duties of loyalty."
2nd Cause of Action. Breach of Fiduciary Duty and Corporate Waste.
Including "52. Among other things, Defendants violated these duties and committed corporate waste by: a. Using corporate assets and resources for their own personal gain; b. Using corporate assets and resources in order to usurp a corporate opportunity and to develop such opportunity; c. Using corporate assets for personal vacations; d. Failing to conduct appropriate due diligence and investigation regarding the alleged experience and qualifications of persons hired for various management positions; f. Failing to hold regular and appropriate meetings of the Company's shareholders; and k. Failing to timely prepare and/or file quarterly and annual reports with the Securities and Exchange Commission, thereby resulting in the de-listing of PWW's shares and their resulting diminution of value."
3rd Cause of Action. Derivative Action - Self Dealing.

Pacific Webworks PWEB 2015 10Q DD.I know something smells fishy to me too. Obviously my opinion based of the hundreds of hours I've researched them.
My opinion is it settles back down at a penny or lower very soon. Seems they are running out of cold hard cash, no?
With all the complaints and big numbers, hard to imagine this one is not going to be looked at by some agency under a microscope.. Complaints are sounding like 2009 all over again.. Read them for yourself. Thats what got them wrapped up in lawsuits the last time. ONLY TIME WILL TELL...

Pacific Webworks PWEB 10q, Shareholder Lawsuit, Credit Card Merchant Accounts, Work at Home business model complaints etc..
Pacific Webworks has Intellipay supposedly with GoodWill of nearly 2 million yet they have problems getting a merchant account??
"On occasion we encounter a situation where we have a backlog of billing that cannot be processed until sufficient merchant processing is obtained. The Company currently has $1,330,767 in overdue billing that is on hold until we secure additional merchant processing. We expect to obtain merchant processing that will enable us to bring the Company’s billing current in the next 30 to 90 days."
** Does the problem have to do with all the CURRENT *Work At Home Scam/ Credit Card complaints coming in from overseas people?
Chargebacks and customer credit card complaints can affect the flow of merchant account banking. Whats up PWEB?

Current Shareholder Lawsuit update:
In October 2014 the Company filed a motion to disqualify the remainder of the law firm representing the plaintiffs in this matter. On March 12, 2015, the Court denied this motion. The Company subsequently filed for interlocutory appeal and on April 30, 2015, the Utah Court of Appeals denied this petition. ( Didnt their last 10q come out in May 2015 why no mention of this Appeal denial in that report? No time to add. happened in the next quarter? just a question.)
Pacific Webworks says:
"We are involved in various other disputes and claims arising in the normal course of our business. In the opinion of management, any resulting litigation from these disputes and claims will not have a material effect on our financial position and results of operations."

I can find evidence online supporting the shareholders complaints, in my opinion.
This needs a jury trial, where all evidence new and old can be presented. If the shareholders win there should be an internal books/records investigation and management/board change.
When all money w/damages $$ and assets come home to PWEB.

PWEB, Pacific WebWorks, MediaBuilderTools, Precision WebTools 10-Q 2015 10-q and the new MediaBuilderTools.com complaints that led to a connection of Pacific Webworks and Yknot Holdings, Bsquared (both of which are ex PWEB and sons of Ex CEO Kenneth Bell, that PWEB loaned 500K to them for bsquared operations..) I'm noticing that not on the 10-q either, however it was repaid. But was it a conflict of interest to begin with?.

This i too lost this millionair training program or site they got so many positive comments on the site so i also apply work at home but the thing is that first they deduct only $1.97 after one week again $89.90 without my knowledge i received a message saying that so and so money has been debited to MEDIABUILDERTOOLS.COM if i visit that site i cannot do anything regarding this so can u suggest if any ways are there to get back my money..

Your comparing apples and oranges. As it is important to put "Right Ideas to Words" ... Lets take a further look....
The PWEB Pacific Webworks Complaints are different. You would have to read them to see the clear difference. There is a link to the PWEB DD below, showing most complaints and ways to search to find them.
Has McDonalds and Burger King been accused of this:
4th Cause of Action. Civil Conspiracy.
Including "64. All Defendants combined for the objective to waste corporate assets of PWW and usurp corporate opportunities of PWW." and "65. The Defendants had a meeting of the minds in order to accomplish this object." and "66. Defendants engaged in one or more unlawful, overt acts, including, but not limited to, breaching their fiduciary duties and duties of loyalty, using corporate assets for their own personal gain, and engaging in fraud to cover up their wrongdoing."
Im not so sure to even believe the managements current position on the condition of the company or way they generate revenue and their infrastructure, $$, any of it.. This one needs a complete board and management change... In my opinion and a state/fed investigation, also in my opinion.

Doesnt look like it with PWEB's Precision webtools.. SO many of the same type complaints all over the net.
And Mcdonalds isnt pitching Internet Millionaire and Work at home type gimmicks, in my opinion.

I had the same experience, signed up and get access to precision web tools and media tech tools for the training kits. I accept if I have to pay to signed up but now thy took another amount every month directly from my credit card which I never authorised to do so. I emailed both sites and recieved the response saying that, the trial is only for 7 days if I didn't cancel it will be automatically charge every month? Does anybody knows about this? As I recall, I didn't see this terms when I signed up and until today i haven't even use their service but already put me in debts? Totally a scam!!!. Please advise how to cancel?

I just researched these work from home ads on carrernewsonline website and with a little digging found 2 similar pages one for Facebook millionaire and one for internet millionaire the pages are very similar and pretend to be a news article but on closer inspection they have used the same picture of a pay cheque with same amount and same check number just the name has been changed and one says from Facebook and other says from Amazon, it's a blatant scam, look for yourself at the pages below that I found.

This needs a jury trial, where all evidence new and old can be presented. If the shareholders win there should be a management/board change.

At what point in a case (any case) i.e. upon evidence etc. would it turn into a criminal case or would it not?
What of the Utah Asset Protection Trusts of named defendants, after the case was filed? Given what the plaintiffs are asking for?

PWEB Current Shareholder lawsuit and its status along with many other facets is why this has more of a potential not to be a home run in my opinion, unless of course you are talking for a week or so after a pleasant 10k.
Apostle used to say the same things every quarter and look where it is now. PWEB has been treading water for more than a decade. Sure they did well right before google sued them.. in my opinion.
Plus all the recent complaints look like in my opinion the same business model that had them sued from google. Long term they need a hail mary... in my oipnion.. see the DD link below.

Golly this seems to be getting uglier in my opinion..
Do they not have a viable business model?
Their technology is 1990's in my opinion...
So many competitiors offering RESPONSIVE websites for a few dollars a month with full ecommerce technology...
PWEB's Intellipay 10 years old... Its never going to take off, in my opinion.. PAYPAL is too big... Plus PAYPAL is FDIC insured, no?
10 years same story how long to wait for results?
Can it be possible that the revenue PWEB brings in is from scamming people?
With all the complaints piling up everyday.. Wonder bow long until more LAWSUITS are filed...

Finally Something we Both Agree On...if the allegations are proven PWEB Pacific Webworks Corporation deserves this:
5th Cause of action. Constructive Trust.
Including "69. Defendants wrongfully deprived PWW of the value of certain corporate assets as set forth herein through their wrongful conduct and mismanagement of the Company's assets and affairs and usurpation of corporate opportunities." and "70. Defendants will be unjustly enriched if permitted to retain unencumbered ownership of such assets and opportunities or their value, which assets and opportunities at all times material hereto have rightfully belonged to PWW." and "72. Because Defendants' interest in such assets and opportunities or any other property acquired using such assets and opportunities are the direct and proximate result of Defendants' wrongful conduct, this Court should impose an equitable constructive trust upon such assets and opportunities in an amount to be proven at trial, together with the proportional increase in the value of such assets and any other property acquired using such assets and opportunities from and after the date that Defendants began engaging in the wrongful conduct set forth in this Complaint."
They want cash and as you see above... Other assets, including appreciation value... (houses)(property) you tell me?
Current board and executive management change needed. And criminal investigation if internal audit deems necessary.

PWEB Pacific Webworks Lawsuit these are serious allegations.

Including "47. By usurping the opportunity, Defendants placed themselves in a position contrary to their fiduciary duties of PWW and for their own personal gain, and violated their fiduciary duties and duties of loyalty."
2nd Cause of Action. Breach of Fiduciary Duty and Corporate Waste.
Including "52. Among other things, Defendants violated these duties and committed corporate waste by: a. Using corporate assets and resources for their own personal gain; b. Using corporate assets and resources in order to usurp a corporate opportunity and to develop such opportunity; c. Using corporate assets for personal vacations; d. Failing to conduct appropriate due diligence and investigation regarding the alleged experience and qualifications of persons hired for various management positions; f. Failing to hold regular and appropriate meetings of the Company's shareholders; and k. Failing to timely prepare and/or file quarterly and annual reports with the Securities and Exchange Commission, thereby resulting in the de-listing of PWW's shares and their resulting diminution of value."
3rd Cause of Action. Derivative Action - Self Dealing.
Including "56. Defendant Lance Bell, while acting as a fiduciary of PWW, caused PWW to enter into a self-dealing contract with himself. a member of the board of directors and officer of PWW." and "59. Lance Bell caused the Company to enter into this self-dealing transaction without disclosing the transaction to the shareholders of PWW, without conducting a formal vote of the members of the disinterested board of directors or shareholders, and without seeking ratification by the shareholders of PWW."
4th Cause of Action. Civil Conspiracy.
Including "64. All Defendants combined for the objective to waste corporate assets of PWW and usurp corporate opportunities of PWW." and "65. The Defendants had a meeting of the minds in order to accomplish this object." and "66. Defendants engaged in one or more unlawful, overt acts, including, but not limited to, breaching their fiduciary duties and duties of loyalty, using corporate assets for their own personal gain, and engaging in fraud to cover up their wrongdoing."

Trust the management the company is ok with this lawsuit? These are the guys who approved the half million dollar loan with Mark Didier personal guaranteeing it.. The money is gone, lost.. Mark Didier had runins with the SEC and Lawsuits about Mathon, he made Utah News way BEFORE the PWEB Loan, who at PWEB did the Due Diligence for this? ..

Do what you want. I know they had some issue with reporting, time or something with the SEC, Its in the shareholder lawsuit as well as other fraud and cover up claims, I would imagine thats part of the reason why its a DERIVATIVE case. I'll keep posting the public info findings on this management team, past and present...
Any new info on James Roundy r.i.p., Utah, past PWEB Pacific Webworks board member and executive manager? He was a cool guy and very intelligent!
