Matica Enterprises and Jacob Securities Close Second Tranche of Brokered Private Placement for Nova Scotia MMPR Facility

TORONTO, ONTARIO -- (Marketwired) -- 03/27/15
Matica Enterprises Inc. (CSE:MMJ)(FRANKFURT:39N)(OTC PINK:MQPXF) ("Matica" or the "Company") announces that its agent, Jacob Securities Inc., has closed on 3,964,500 units in the second tranche of the brokered private placement offering at a price of eight cents per unit for gross proceeds of $317,960. Each unit comprises one common share and one share purchase warrant of the Company. Each warrant will entitle the holder to purchase one additional share at an exercise price of 15 cents per warrant for a period of 36 months from the closing date.
Matica is currently completing the previously announced Plan Of Arrangement (Announced on January 5th 2015), following which, Matica will focus solely on becoming the next publicly traded MMPR company through the nearly completed Nova Scotia based, THC Dispensaries Inc. ("THCD") marijuana production facility with a "Ready To Build" letter from Health Canada. Completion of the facility is anticipated shortly followed by a final inspection by Health Canada before being granted a MMPR license.
Matica Enterprises CEO, Boris Ziger states, "Now that we have closed our financing and all necessary funds are in place, Matica will commence an extensive marketing initiative throughout North America to coincide with our anticipated MMPR facility completion. As well, our DTC electronic trading status is now active for US investors to own shares in Matica for the first time. As consideration for acting as lead agent, Jacob Securities will receive a commission up to 8 per cent of funds secured by Jacob pursuant to the financing, and compensation warrants to purchase a number of units of Matica up to 8 per cent of the units shares sold pursuant to the financing, exercisable at the same issue price of the units for a period of 36 months from the closing of the financing.

Not sure on numbers bit all that other info is postdated...not even worth posting. Dont have the numbers, but they did a pp at 10c 5months ago and are about to close an 8c one next week... theyve spun out their graphite play and are soley a marijuana play. 50% ownership in TCHD. They are currently waiting for HVAC to be delivered so they can request an inspection from health canada. They are already planning an expansion once a mmpr is fully granted. They habe a RTB ( right to build ) from HC so its just a matter of meetimg the requirements.
I bought in the 10c pp on the canadian side...they have the goods and IMO will be the next Canadian company to get a mmpr.
Record volume stateside today. Good things happening here. Next week should be a good one...

I think it will eventually...Financing is suppose to close by months end and then hopefully some good news. They are already talking an expansion after recieving mmpr, just hope we get a good pop after mmpr or we may get some serious dilution trying to expand... Im playing c.mmj but wanted to try and draw some attention stateside...

Havent contacted the company or Merry Jans but It did get some Canadian coverage on Stockhouse by Chris Parry, who is stockhouse marijuana analyst...
I think most are here for the Oregon experience, not some dinky dispensary in LA. Though Im just here after buying some yesterday hoping that it was bottom and we can get back over a cent again...the higher the better.

MATICA TO RAISE FUNDS THROUGH BROKERED PLACEMENT
Matica Enterprises Inc. has engaged Jacob Securities Inc. to act as agent in connection with a best-efforts private placement offering of units of the company at a price of eight cents per unit for gross proceeds of up to $1-million. Each unit will comprise one common share and one share purchase warrant of the company. Each warrant will entitle the holder to purchase one additional share at an exercise price of 15 cents per warrant for a period of 36 months from the closing date.
As consideration for acting as agent, the agent will receive a commission of 8 per cent of the funds raised in connection with the offering, as well as such number of broker warrants as is equal to 8 per cent of the units issued in connection with the offering. Each broker warrant shall entitle the holder thereof to acquire a unit at an exercise price of eight cents for a period of three years following the closing of the offering.
The full offering is expected to close on or around Feb. 20, 2015, with multiple tranches occurring prior to the final closing. Upon closing, the proceeds of the offering will be used for financing a milestone payment to THC Dispensaries Inc., a Nova Scotia applicant under the Marihuana for Medical Purposes Regulation (MMPR) that is in the final stages of completing the build on a state-of-the art marijuana growing facility with a ready to build status, as well as for the operational and general working capital purposes of Matica.
Further, Matica is pleased to advise that a portion of funds raised in connection with the offering will be used to finance the delivery and installation of an HVAC system at the THC medical marijuana growing facility. Upon completion of the installation of the HVAC system, Matica and THC Dispensaries anticipate that the facility will be ready for a prelicence inspection by Health Canada.

OHIO — There was a happy man at the controls of a skid steer loader in Antigonish County on Friday.
It wasn’t the freezing rain expected to come in the evening that had a smile on his face.
Frank MacMaster was smiling because he anticipates growing 11,000 kilograms of marijuana a year.
“All I am is a construction worker and a farmer,” said MacMaster. “But a few years ago I took a chance and got in early on the medical marijuana licensing process.”
MacMaster is founder and president of THC Dispensaries Canada Ltd., a company that’s leading the pack of hopeful medical marijuana producers in Nova Scotia looking to get licensed by Health Canada.
The last hurdle is the installation of an air handling system, expected to be complete in late March, before the facility’s pre-licence inspection by Health Canada.
Then it’s plants in the ground for THC Dispensaries Ltd.
MacMaster won’t be growing 11,000 kilograms of medical marijuana out of the starting gate — that will wait for a 100,000-square-foot expansion planned for the facility in Ohio, Antigonish County.
“As soon as we get our licence, Matica (MacMaster’s backers) are talking about doing a $10-million, 100,000-square-foot expansion,” he said.
“Even if we only went with a 50,000-square-foot expansion, we’re talking about employing 40 to 60 people right here.”
Five years ago, MacMaster was an industrial electrician with a shuttered abattoir.
With a young daughter, he had built the business thinking it would mean he could stop heading to the Northwest Territories for his job at a diamond mine.
But the hours were long and he quickly learned that if he didn’t invest a lot of money he didn’t have and get big quickly, he’d have to get out.
So he closed MacMaster’s Meats and turned the lights off at the fully inspected, brand-new facility he’d built only a few years earlier.
He started heading north again for work.
“But I had my eye on the medical marijuana industry all along.”
So he took a gamble two years ago and applied to Health Canada under the previous research and development process.
When the new Marihuana for Medical Purposes Regulations were issued, he transferred his application to that and found himself near the front of the line.
He had the building, but he needed money for renovations, expertise and a security system.
Venture capital has been flocking to proposed medical marijuana operations in Stellarton, Truro and locations across the country. MacMaster teamed up with Ontario-based Matica Enterprises Ltd., which bought 50 per cent of his company.
Now his little beef farm, down a long dirt road in Antigonish County, is set to become the province’s first large-scale medical marijuana producer.
“What’s the point in living if you don’t take some chances,” he said. “But it looks like Frankie MacMaster and his foolish ways are about to pay off.”
And it means he won’t be heading to the Arctic for work again any time soon.

F2 alone will be producing about 24m grams and if you put an conservative pricetag of 2.50 a gram, were looking at a cool $60m from one facility alone... Shouls see production by Fall if there are no gliches.

Yes we are going to neeed cash, and how they plan to raise, either pre or post consolidation is an issue but we really have a chance to show we want to be the top dog on the production side of this emerging sector. Ya, thats why im hoping we can get a decent run before another financing. I do think it will be a quick process though. F2 is huge will def turn some heads with the next 750k payment and official ownership. Also, as I posted on SH, I dont think they want to drag their feet on this one, this is a company maker. Plus they only have till the end of Q3 to meet security requirements to maintain the grandfathered MMPR with the ability to grow 3x the rest of the market...
They need to raise cash though which is the only downside...theres not enough warrants left to pay remaining 3.5m owing on F2.Hopefully we can get a run with the news this week that they have officially aqquired the facility. Supreme Pharmaceuticals Inc. has signed a conditional agreement with an arm's-length south Okanagan-based company, whereby the company has the option to purchase its producing medical marijuana business for up to 12 months for the sum of $1-million, payable in cash and shares, subject to regulatory approval. The company is currently in a 10-business-day due diligence period and if satisfied, Supreme will make a $100,000 option payment.

Yeah its pretty brutal. I saw the volume and did some quick dd on Friday and the SO was one of the things that made me think there would have to be a bounce here. Im in under 2c so Im better off than alot here but now Im concerned that even for me to get out at even might be a struggle.
