TOT 52.87, +1.84, +3.6%) Tuesday launched a C$617 million all-cash bid for UTS Energy Corp. (UTS.T), seeking to boost its oil sands assets with a stake in the delayed Fort Hills development.
The French oil major is bidding C$1.30 a share, or around 57% above UTS' closing price of 83 cents on the Toronto Stock Exchange Tuesday.

Alberta's high-cost oil sands - the biggest crude reserve outside Saudi Arabia - have felt the brunt of oil's freefall from July's record heights near $150 a barrel. Crude prices have slumped more than 70% since then, causing billions of dollars in canceled and delayed projects.
Most oil sands developments need at least $80 a barrel oil to break even, according to analyst estimates, while Fort Hills was reckoned to need prices above $100.
But only speculation of takeovers has emerged until now, despite depressed market values. As with most small companies, UTS shares have been hammered by investors who doubted its ability to pay for its share of the project.
Neither UTS nor Total could be reached for comment.
The other Fort Hills partners would only have right of first refusal had Total bid for UTS' Fort Hills assets, rather than the entire company, Petro-Canada spokesman Peter Symons said. Petro-Canada would "certainly welcome" Total as a partner, given its size and experience, if it succeeds in its bid, Symons added.
"But we're happy with partnership we have and we're happy with our 60% (stake)," he said.
In November, Petro-Canada Chief Executive Ron Brenneman said the company needed to have "a lot more confidence in our partners' ability to stay with us...than we have now," alluding to UTS' and Teck's financial difficulties.
Petro-Canada has the ability to counterbid with a significant premium to Total's offer, of C$2.25 a share, reckoned Jeff Martin, an analyst at Calgary-based Peters & Co. The company could also buy the Fort Hills assets from Total after the transaction was concluded, leaving the French major with leases closer to its existing assets, he added.
"However, although the transaction would ultimately be accretive, Petro-Canada would increase its overall spending commitments to the project and may have difficulty funding these commitments depending on the eventual size of the project," Martin said in a note.
Total said buying UTS will strengthen Total's portfolio in the oil sands region of northern Alberta, where it already holds a majority stakes in the proposed Joslyn and Northern Lights projects. Both of these developments will be oil sands mines, like Fort Hills.
Total's offer will be open for at least 60 days and will need the support of a minimum of two-thirds of UTS shareholders.
Fort Hills first 160,000 barrel-a-day phase was initially slated to start up in 2011, which is now likely to occur in 2012 at the earliest. The project's upgrader, a costly facility that processes the sludgy oil sands bitumen into a lighter synthetic crude, has been put on hold indefinitely and could be canceled altogether.

They signed an off gass processing contract with Wiliams & Provident one of five contracts williams signed with upgraders in the area. Williams is spending $2 billion to expand its Redwater NGL facility and construct a massive de-ethanizer.

Spoke with a man at Flour. UTS could be short on development money and hence UTS could in turn become a buy out target. All is proceeding well with the engineering and the RFP packages are out. Petro-Canada considers the Capital Expendature to be small in respect to the 40 year life the project will have. The break even point is still $28 per barrel tied to WTI price. Tits-Up for a 2011 score with this one.
Uts energy has over 100 billion dollars in assets with no debt and its share price is way undervalued at less that 5.00 a share US
Once UTS & Petro-Canada file for the upgrader then we should see the next major move, look for a few days of high volume like CWPC had before it moved fro 4.5 - 5 to 7 to 8.
UEYCF(UTS) is looking better and better by the day. I'm just waiting for the breakout similar to CWPC. I believe we'll see $10.00 by summer when Hurricane season is in full force.
PS. Look at the value of other partners taking an ownership position in an upgrader. OPTI Canada, SYN, and Canadian Oil Sands Trust. Throught these you will get an idea of what is instore for UTS.
Petro-Canada did not give them $300 million CND to just sit on the project.
In order of development SYN, is a 60% owner of the Northern Lights project and it is in permitting... trades at approx $25 CND (Went public a few months ago at Approx $18 CND), SYN is in the permitting and siting phase of its upgrader project...
OPTI Canada is a 50% owner and has the first phase of its upgrader underconstruction with Nexen, other phases have been announced, first steam is planned for late 2006 for the SAGD portion and pahse I upgrader commisioning is scheduled for early - mid 2007 Trades Approx $45 CND.
Canadian Oil Sands Trust is a 39% owner in the operational SynCrude project. I think at approx 220,000 BBL/d and has stated further phases. Trades at Approx $160 CND.
Follow the chain of development and you will see what is coming. Money where my mouth is DWOG = 25,000 shares, SRGG = 10,000 shares.
Stuff to watch for.
1) IPO of BA Energy
2) POU and its dealings in the oil sands patch. Has income and is silling on a large chunk of the oil sands.
3) PGB, will its technology play out in 2006
4) CWPC, lab results and a posible move to the AMEX or another major exchange in the near future. Company could be sitting on enough reserves to support 5 - 6 different production/upgrader projects and taking a 30% - 35% interest in each...UTS times six.
5) BlackRock Ventures, will they go the same way as Deer Creek Energy???

If they file for the upgrader this year which is most likely then this stock should make a strong move. There is a difference between saying you are going to construct an upgrader and doing the filing. I do know that Petro-Canada has several dozen engineers working on this project and it has been given a "Fast-Track" status. There is aslo lease 14 to consider and the recent oil sands lease acq they have done. Seems to me that the lease acq are in an effort to shore up ap 350,000 to 500,000 bbl/b mine/SAGD/upgrader complex. I picked up 10,000 at 4.45 CND and added another 10,000 this week as well as picking up an additional 10,000 of CLL and 5,000 of CWPC. There is another small player under DWOG that made a move this week. Has operations in the Peace River area. Funny the former CFO UTS is working for their farm-in partner on the project SRGG. All is IMHO.
UEYCF- Do you know the A/S, O/S or the float on this one. I have been watching UTS for a while but didn't know that you could trade it on the pinks.
