YTEL was no more than a shell IMO and the one big reason for the merger was to accelerate the process to become a listed company for SBBD. Once this happens the $25 million comes into play!!! The five million shares that YTEL must issue is nothing. With most of these companys on the PS or BB this number would be more like 50 million.

Y-Tel, on October 17, 2006, has agreed to acquire Sunrise Television Networks, Inc., ("STN") from Sunrise Broadband Group, Inc., by merging STN with a wholly owned subsidiary of Y-Tel called Sunrise Acquisitions, Inc. The transaction includes Sunrise Broadband of Colorado, Inc., holder of a cable network license. Y-Tel agreed to issue two series of preferred stock to Sunrise shareholders, one for preferred shareholders of Sunrise, Series A (2,550,000 shares) voting as super majority of common, convertible to common under certain terms and one for common shareholders of Sunrise (1,800,000 shares), Series B, which Series B is convertible to common and which will be restricted and held in trust for Sunrise common shareholders subject to a registration statement registering the underlying common conversion shares. The dividend (in trust) to Sunrise common shareholders will be based upon the Sunrise shareholders of record on October 30, 2006. After registration, the Series B Preferred shares will be converted to common shares of Y-Tel in four equal quarterly distributions, to shareholders of Sunrise Broadband as of October 30, 2006.

Series C Preferred shares have been authorized in the amount of 650,000 shares.

The closing of the transaction is subject to delivery of audits for Sunrise Television Networks, Inc. and its subsidiary Sunrise Broadband of Colorado, by December 31, 2006, which may take up to 60 days."

If your looking for a one nite stand this may not be the one for you but I believe PPS will increase once two things happen,1 deliver the audited financials,which IMO are close to being completed and 2 the ability to draw down on the $25 million!!!!!

IMO the deal is done but until these audits are completed and delivered, but, as with all deals, there is always a chance the deal won't get done. Smiley has already assumed the role of CEO so the odds of this R/M not happening are about as low as it can get. Once the audited financials are done it is my impression from the P.R.'s that the company will then have access to the $25 million credit line for which to grow the company. IMO this is a lot of money and should throw a spark into the PPS. This may be a chance to get in early for a nice bump in PPS. I look for this all to happen sooner rather tham later.

As per PR seems confusing to me about merger and what it entails for both YTLI and SBBD holders. Looks like current YTLI holders may be getting the worst of it imo.

As per your last PM somewhat correct BUT what YTLI is doing is increasing AS to accomodate paying SBBD shareholders and then YTLI will then change their name to reflect SBBDs assets they acquired to close to same name as Sunrise Broadband now.Kind of goes both ways but seems like neither shareholders get the best of it because of eventual dilution factor to new ticker considering that YTLI has to issue more shares to current SBBD holders which in turn means raising AS and OS so dont know for sure if it will be great,jus ok,or crappy for shareholders. That we will have to see when it haps I guess. It may be worth a small gamble either way but dont sound that great and PPS and lack of liquidity may reflect that. Sad too cuz I was lovin SBBD for a while there til meltdown happened.GL DF

I wouldn't worry about that P.R. IMO what we need to keep our eyes on is the merger with Y-Tel! This is key to the $25 million financing. IF they get this money the hope then is they spend it wisely. Some of the past acq. don't seem to bring much to the table IMO

In no way does this concern me that the filing will be a little later than previously stated. This companies future,if is to have one,depends on this filing and becoming fully reporting and listed on an exchange other than the Pinks. They want that money!!! If they were to miss this second time frame by much I would then consider it to be a red flag. This,this is nothing. Bargin time is quickly drawing to an end!!!Dollars plus is coming IMO

D.F.,Looks as if it will be mid Sept. for the filing. Audits on some of the subsidaries with Sunrise taking have taken a little longer than expected. They have been working to secure bridge financing to enable them to begin execution of the new business model now and also doing D.D. on other potential acquisitions subsequent to completing the merger. I'm still very positive on this one. GLA

The Agreement with Dutchess requires that Sunrise Broadband file a registration statement with the Securities and Exchange Commission ("SEC"), become fully reporting and register the underlying securities. The approval of the registration statement will activate the Agreement with Dutchess.

They plan to file at the end of this month so IMO stock will begin it's move north soon. Money should be in the bank by DEC. $25 million should go along way towards the build out. Time is short to pick up cheap shares,IMO. GLTA

We plan to file the s4 by the end of August. It usually takes 60-90
days to
obtain SEC approval from the date filed. Once we have secured the
approval,
an information statement will be sent to all shareholders for their
review
and questions. The transaction will close twenty days from the day we
send
out the information. So, I would expect to close sometime in Nov or
Dec.

The proposed Merger has been approved by both company's board of directors and is contingent upon majority shareholder consent and completion of a Securities and Exchange Commission ("SEC") registration statement. In the merger, the shareholders of Sunrise will be issued one share of Y-Tel stock for each surrendered share of Sunrise stock. If we get one for one YTEL is currently trading at .17 a share. If this holds we'll all be setting pretty!

Don't know why. Seems like it started right after that live update but haven't been able to find the replay. Could just be a coincidence. Could be someone is getting tired of waiting. If somebodys selling got to be someone else is buying. Stronger hands hopefully. Things will start happening within a couple months if not sooner. Just have to wait it out. Nice volume,just wish it was the good kind. I know it will be soon! IMO
