Inergetics Enters into Strategic Partnership with Terra Tech Corporation
to Develop a New Line of Hemp Oil-Based Nutritional Supplements

(NRTI), a leading developer of nutritional supplements, today announced it has entered into a strategic partnership with Terra Tech Corp (TRTC), a fast-growing urban agricultural company, to jointly develop a line of natural Cannibidiol based nutritional supplements.

 

The strategic partnership will combine Inergetics' proven expertise in successfully developing and marketing innovative nutritional supplements that help consumers lead better and healthier lives with Terra Tech Corp's agricultural expertise and established distribution network of dispensaries in medical cannabis markets.

The featured active ingredient in this new product line will be Cannibidiol (CBD), a non-psychoactive component of cannabis that possesses a wide range of therapeutic benefits.  The supplements will be initially marketed to consumers of medical cannabis in legally approved markets who suffer from nausea and/or illnesses such as glaucoma, and who can benefit from CBD's pain management and other therapeutic properties.  To date, 20 states and the District of Columbia have enacted laws to legalize medical marijuana.

NEWARK, N.J., Dec. 23, 2013 /PRNewswire/ -- Inergetics, Inc. (NRTI), a leading developer of nutritional supplements based in Newark, NJ, announced today that its application for the New Jersey Technology Business Tax Certificate Transfer Program has been approved for $3.357 million.

Inergetics, which employs twelve full time employees of which eleven are located in New Jersey, relocated to the Innovation Zone of Newark, NJ in 2013 and expects to receive cash after fees of $3.055 million in January of 2014. The state funding is non-dilutive and does not add shares or debt to the capital structure of the company.

Martha Stewart Essentials Supplement Line Already in Walgreens Stores Nationwide


Oct 08, 2013 (ACCESSWIRE via COMTEX) -- A couple of positive headlines for Martha Stewart Living Omnimedia Inc. MSO -1.32% may have gone largely unnoticed in August hidden in the midst of all the headlines of the legal issues. On August 7th MSO put out a press release announcing the launch of Martha Stewart Essentials. Martha Stewart Essentials is a new line of six Whole-Food-Based high quality supplements made specifically for women. The Essentials line is one of the only lines of supplements made specifically to address the health needs of woman. The supplement line includes products for hair, skin and nails, bone support and menopause support. The press release says the product will be on retail shelves beginning September 15th.

On Monday, August 12th Martha personally attended the National Association of Chain Store Expo at the Sands Expo and Convention Center in Las Vegas to promote the launch of Martha Stewart Essentials. By the accounts relayed to us, attendance was high at the booth and Martha announced on her Twitter account that MSO partnered with Inergetics on the Essentials line.

To date MSO has not put out a press release announcing the stores that have begun stocking the line of supplements. But channel checks show that a rollout of Martha Stewart Essentials is moving forward. We have seen the product line in several Walgreens Stores, and a manager of a Walgreens store confirmed that the Essentials line is a nationwide rollout. As of May 31, 2013 Walgreen Co. WAG +0.02% said it had 8,096 stores opened further verifying this is a significant product launch for Martha Stewart Essentials.

Inergetics, Inc. NRTI +1.81% developed the Martha Stewart Essentials line in partnership with Martha Stewart Living Omnimedia, and now is in the process of marketing and distributing the line. Inergetics entered into a licensing agreement with MSO that is laid out in the Commitments And Contingencies section of Inergetics August 14, 2013 10-Q. The agreement has minimum royalty payments to MSO for the 5 years of 2014 through 2018 of $1,800,000, $2,100,000, $$2,700,000, $3,200,000 and $3,800,000 respectively, on top of the $450,000 paid as of June 30, 2013. As royalty payments typically have relatively high margins for the receiving company, a high percentage of these payments should have a significant impact on MSO's EBITDA over the next five years. Inergetics goes on to say in the Subsequent Events section in the 10-Q that during the third quarter of 2013 Inergetics has shipped in excess of $1.4 million of product to retail chains. Inergetics does not say specifically the products are the Essentials products, but we assume they are due to the facts that the Essentials line is rolling out at Walgreens and Inergetics revenues were $73,442 in the first two quarters of 2013.

Inergetics is a supplements company that started with a protein product, Resurgex, which was proven in clinical studies to increased recovery time for NCAA Division I athletes. In June of 2013 Michael James was named the CEO and he took over the task of rebuilding the stagnant company. Mr. James began by bringing industry experts into the Inergetics management team. Since becoming CEO, Mr. James has paid off toxic debt, recapitalized the company with the least amount of dilution he could, grew the Resurgex product from one product into a line of top performance muscle building and recovery products for competitive athletes, acquired two new brands, Slim Trim and Bikini Ready, and launch them into retail stores. The most significant achievement for Mr. James and his team is the partnership with Martha Stewart Living.

Inergetics has gone from a company with nearly no product sales in the first quarter of 2013, only $6,775, to shipping over $1.4 million of product in the third quarter at the time the 10-Q was released. The Inergetics management now has the Martha Stewart Essentials line going into 8,000 Walgreens. This is a management team that has produced. Inergetics pre-announced their 3rd quarter results in a press release October 1, 2013. Management announced that the revenue for the 3rd quarter would be approximately $1.6 million. The growth in revenue is nearly 24 times greater than the second quarter revenue of $66,667 and 17,000% versus the prior year. Michael James stated in the press release, "We are pleased with the overwhelmingly positive reception of Martha Stewart Essentials into Food, Drug, Mass and online e-tailers. Inergetics' aggressive efforts to drive distribution and product turns across all of our brands are resulting in significant company performance. We look forward to the continued acceptance of our brands as we aim to provide the highest quality products to the growing needs of consumers looking to live healthier and better lives." Not only is the 3rd quarter revenue the highest ever for Inergetics, but the fourth quarter could even top the third as the company continues to expand the rollout for Martha Stewart Essentials into other retail chains over the next few months.

Martha Stewart Essentials looks like a great opportunity for both Martha Stewart Living Omnimedia and Inergetics. MSO is capitalizing on their most valuable asset, their brand, with a woman's health line that is right in line with the message that they have been conveying for years. "I have envisioned nutritious whole-food-based supplements for women who live their lives the way I do, healthily and with passion," said Martha Stewart about the Essentials supplements. "I have confidence that consumers will recognize the high quality and nutritional value these formulas deliver, and that they will be as excited about them as I am." These licensing agreements are becoming more important to the financial structure of MSO, and we would expect to see more like it in the future. As for Inergetics, the new management team has turned Inergetics into a thriving company with loads of potential. Inergetics is about to have a significant spike in revenues that has not yet been realized in the stock price.

MSO Stock is near a 52 week low reflecting the ongoing legal and licensing issues between Macy's, JC Penny's and MSO. Until this is all resolved there will be continued risk in the stock of MSO. However, it does look like MSO is attempting to produce higher margin revenues with partnerships that signify the Martha Stewart brand. If MSO continues along this path, these price levels could be a good entry point into the stock. The risk for Inergetics is that they are a small company that has failed to produce properly through their last two managements. The new management led by Mr. James looks to be on the right path, increasing the number of products and getting them into large chain retail stores. The shock price of Inergetics has been bouncing between 12 and 14 cents for the past few weeks and is down from19 cents in May. The stock price has not taken into account the rollout of the Martha Stewart Essentials rollout, nor the fact that the Inergetics has already shipped $1.4 million of product in the current quarter. Inergetics is the logical way to play the Martha Stewart Essentials product launch, as the rollout will have a significant upside effect on the Inergetics' top and bottom line.

Have you heard that a new line of eponymous vitamins has been launched this month? (I've been dying to use that word for ages, soooo English and so ubiquitous in the mags these days.) 

This month Martha Stewart added a line of vitamins to her ever-growing list of lifestyle products that carry her name. It's the Martha Stewart Essentials line of supplements.

There are a gazillion brands of vitamins out there (none of which stand out to me) and I think that this might be the first vitamin to have such a familiar face on the label.  

Yup - designer vitamins by Martha. And not just one vitamin. Many sorts of vitamins tailored to your age, lifestyle and health. 


 
 

Now that we have Martha Stewart Essentials I want to know what's next on the horizon....make-up? hair products? perfume? 

Perfume is usually the first step into brand extension in the fashion world.... Martha has done it all her way so who knows maybe she has that in her plans next? 

For now I'll be trying out the women's multivitamins but I'm hoping she has some plans to shake up the Beauty market.

Martha Stewart Living Omnimedia partnered with Inergetics to create Martha Stewart Essentials, a line of six women's supplements that will be available at retailers in the fall.

Flanked by a lone Venetian security guard, business mogul Martha Stewart walked into a conference room at the Sands Expo on Monday morning. In Las Vegas to promote her new line of supplements, Stewart spoke about health and aging to an

audience of about 25 people, including a dean of pharmacy education, pharmacists, press and retail buyers.  
Her company, Martha Stewart Living Omnimedia, partnered with Inergetics to create Martha Stewart Essentials, a line of six women’s

supplements that will be available at retailers in the fall.  Her product is being manufactured at Las Vegas-based factory, Dr. Vita.  
“I think it’s extremely important, no matter your age, ... to age gracefully,” Stewart said. The educational event was  


part of the National Association of Chain Drug Stores’ inaugural Total Store Expo at the Sands Expo through Tuesday.  “We’re very excited to be here in Vegas. It’s an ideal location,” Jim Whitman, senior vice president of the association, said.   

The trade-only show is sold out, taking up Sands Expo Halls A, B and C, using 525,000 square feet. In all, the association has about 125 retail member companies, and more than 1,000 supplier members.  About 5,600 people are attending Total  

Store Expo, including Stewart. She said trade shows like this are very important when launching a product.  “It introduces it to the widest possible audience and it helps you get a product known quickly. Something like this has to have that kind of

introduction,” Stewart said.  
It seems to be working. A few of the pharmacists in attendance commented they’d feel comfortable recommending her product after learning about the ingredients, combinations of herbs and vitamins.  “We don’t want

any missteps.  We’ve taken all the steps to make sure what’s in there is what we say it is,” said Marshall Post, executive vice president of Inergetics.  
After speaking, Stewart spent the day taking meetings in her company’s booth on the expo

floor. 
Another new product exhibiting was Dream Water, a sleep aid shot made with melatonin, gaba and 5-HTP. Anthony Cornish, vice president of sales, said the company has been successful thus far while in Vegas. “The retailers are very

responsive to us and I found the meetings to be very productive,” Cornish said.   
Attending retailers include Albertsons, Walmart, Walgreens, Ulta Beauty, Target and 7-Eleven. Other exhibitors include Hallmark Cards, General Mills, Tom’s of Maine

and Zhena’s Gypsy Tea. The association’s aim is to bring drug, food, mass, club and value segments together into one trade show. There also is a pharmacy education component. 
Elsewhere on the floor, E.T. Browne Drug Co. was showing off its

new Palmer’s skin therapy face oil.  
“It’s been very well-received by all the buyers,” said Gilberto Rodriguez, vice president international sales. Apothecary Products was exhibiting its pill boxes, first aid and diabetic items.  “It’s nice to see our core

customers in a new venue, out of the office,” said Candice Hudson, director of national accounts for the company.  Total Store Expo’s producers anticipate a strong show, but aren’t sure that will translate into returning to Las Vegas next

year.  “We’ll have to wait and see after Tuesday,” Whitman said.  “There are so many cities with convention centers.  They all have their assets and their pluses.”

The queen of all homemakers, Martha Stewart will venture out of her fortress and into retailers and drug stores this fall with Martha Stewart Essentials: six specially crafted supplements to support good health for women.

We caught up with Inergetics' Chief Marketing Officer, Jim Kras and Executive Vice President, Marshall Post for the inside scoop on where these supplements will surface—and what's in 'em—before they hit shelves come autumn. 

What retailers/drug stores are you planning distribution through? 

We plan to distribute the Martha Stewart Essentials to FDM (Food/Drug/Mass) and the natural health food channel. We’re finalizing distribution across key retailers and slated to be on-shelf this fall. Martha’s audience has long demonstrated they care about quality and clean, simple, practical products that help them live a full, active, vibrant life. Her new supplement line is whole food based and almost entirely vegetarian, keeping in lockstep with Martha’s dedication to the most natural, healthy lifestyle possible. Plus, it was developed by formulators who have spent years in the natural products category. 

How do you plan to manage selling into FDM and the natural channel simultaneously? Will you launch different products in each channel? Launch in one channel first and then the other? 

We are ready to launch all six products—the entire Martha Stewart Essentials line in both channels, simultaneously. While we know that our whole-foods-based, almost completely vegetarian line will appeal to the natural foods shopper for sure, we also are relying on Martha Stewart’s very broad and deep appeal here, and so we will make sure the line is widely available to mass market as well. We recognize that the natural channel loyalist has a keen eye for quality and that is why we worked with Martha Stewart to offer a high quality, moderately priced line to appeal to natural consumers as well as a mass market shopper. 

Why whole food supplements? 

Our line of vitamins and supplements are whole food based, which means we use whole food components—fruits, vegetables and herbs—as much as possible. We do so because these components contain an array of nutrients that go above and beyond single vitamins and minerals, and thus represent a far greater intake from a nutritional standpoint. My routine consists of being active by both working out and surfing.  For my workout, it consists of me being in the gym doing a mix of cardio and strength training. I love to mix it up with hopping on the spin bike and doing sprints as well.  One of my  favorite daily workouts consists of 30 minutes of running on the treadmill at the 6.5 speed switching my inclines between flat to 5.0 on the treadmill, every 5 minutes I’ll hop off and do lunges and sit up’s and then after followed by 10 minutes of stretching. I definitely try to eat on the cleaner side and the less processed the better. Foods that I try to avoid during bikini season, which is year-round for me, are starches like bread and pasta and also sodas.  I do, however, allow myself a cheat day here and there, so I don’t go crazy. Also, focus on all the great qualities you do have, if your funny, have a great smile or have long legs be thankful for them. AND smile! Smiling is a great way to show a beautiful side to yourself. One way I’ve also gained self confidence is by helping others and doing something that is bigger than yourself.

Walgreens activated its Way to Well Commitment this month by pledging $3.5 million to nonprofit Vitamin Angels with the help of several manufacturers.

The retailer also promised an additional 25 cents for every vitamin/supplement purchase in stores or onwalgreens.com from Sept. 1 through Oct. 26. Mike James is responsible for the overall leadership of Inergetics. His leadership expertise includes corporate strategy, SEC compliance and corporate operations. He maintains institutional relationships with the Company’s investor base and actively participates in all aspects of the business. Prior to Inergetics, Mr. James served as CEO of Nestor, Inc. where he successfully completed a financial restructuring of the Company prior to its sale in September 2009 from the Receiver’s Estate in Superior Court of the State of Rhode Island. He also served on Nestor’s Board of Directors from 2006 to 2009 and has been the Managing Partner of Kuekenhof Capital Management, LLC, a private investment management company for the past ten years where he serves as Managing Director of Kuekenhof Equity Fund, L.P. and Kuekenhof Partners. Michael is also a director of Guided Therapeutics, Inc. where he serves as Chairman of the Compensation Committee and the Audit Committee.  He was employed by Moore Capital Management, Inc., a private investment management company from 1995 to 1999 and held the position of Partner.  He was employed by  Buffalo Partners, L.P., a private investment management company from 1991 to 1994 and held the position of Chief Financial and Administrative Officer.  He was employed by National Discount Brokers, Inc. His accomplishments include working with our partners to develop and launch a wide range of top selling products from medical foods to sports nutrition. Mr. Guarino was previously employed from 1997 through February 2001, as the Controller of First National Funding Corporation of America, a mortgage banking firm which grew from a small family business to a medium sized corporation with 55 branches nationwide producing over $350 million in annual volume at the time of his departure. From 1995 to 1997, Mr. Guarino was employed by Panasonic Broadcast and Television Systems Co., where his responsibilities evolved to an independent supervisory position in the accounts receivable department which collected over $400 million annually in accounts receivable from clients which included national television networks. Mr. Guarino earned a Bachelor of Science in Accounting from St. Peter’s College in 1997.
