ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On December 7, 2007 Roanoke Technology Corporation, a Florida corporation (Roanoke), and Regency Technology Corporation, a North Carolina corporation (Regency), signed a Bill of Sale. Under the terms of the Bill of Sale, the sum of Seventy-One Thousand Dollars ($71,000.00) in cash or equivalent to be paid by Regency. Such money is currently in an escrow account with Anslow and Jaclin, LLP (the Escrowed Funds). The Escrowed Funds are to be used in the discharge of all property from the IRS Federal Tax Lien and to satisfy the debt to the North Carolina Employment Security Commission.

Also, on December 7, 2007, Belmont Partners, LLC (Belmont), a Virginia limited liability company, entered into an agreement (the Agreement) with Russell Jones (Jones) Roanoke Technology Corporation, (Roanoke), Cathryn Walker and Joseph Meuse.

A copy of the Bill of Sale entered into by and between Roanoke and Regency Technology Corporation (Regency) is attached as exhibit 10.1 to this Current Report on Form 8-K.

ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.


The Company has no operating business, and in an effort to return value to the shareholders the Company will appoint Meuse as Director and Officer of the Company. On December 7, 2007, Jones appointed Meuse as Director and Officer of the Company. In doing so, Jones resigned as the sole Director of the Company. In addition, Walker will, at no additional cost to the Company or Meuse, continue as an officer of the Company and act as representative between the Company and the IRS.

The resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

Joseph Meuse, age 37, resides in Warrenton, VA. Mr. Meuse has been involved with corporate restructuring and reverse mergers since 1995. Additionally, Mr. Meuse maintains a position as a Board member of the following corporations: Comprehensive Healthcare Solutions, Pivotal Technologies, Inc., Adrenaline Nation Media Networks, Inc. Garry McHenry, age 50, started his career in the Telecommunications field in 1991 with Protel, where he helped develop one of the first fixed wireless public payphones. He has also served as manager of engineering of wireless payphones with technology service group, as manager of south-eastern sales with U.S. long distance, LCI and Qwest Communications. No, I haven't gotten in yet. Just really found out about it yesterday and still piecing it together. Supposedly GPSI had 12M o/s late last year (that's after a 1/100 r/s) according to Pinksheets. Well, Meuse bought 33M himself (the good), but the share price has gone from $.75 in April to $.0018 in August (the bad and the ugly). Based on the Meuse stake and the 99% drop in the share price I deduce that 1) THERE HAS BEEN A TON OF DULUTION and 2) WITH MEUSE STILL A HOLDER, A POSSIBLE BARGAIN BASEMENT PLAY. Deciphering which one holds more water will decide whether I get in or not. Still fencing it ;>

GPSI HOW DO YOU KNOW MEUSE BOUGHT IN?

No fill yesterday....it looks like this has traded on 2 days in the past 2 years, last time was 4/7/06. Last "price" was .001, so hard to tell. I put an order in at .001 and nothing. Without a bid/ask, hard to tell what the going rate is.

Check out AZTC, it hasn't really made the move yet that THDS did this morning and is around .01. Also, check GPSI, Meuse bought over 33M shares in this one earlier this year and it's currently .0015 x .0018. What his involvement is, I don't know, but he does have a stake.
