Commtouch Reports Financial Results for the First Quarter of 2008

83% Growth in Non-GAAP Net Income and 41% Growth in Revenues Year-Over-Year
SUNNYVALE, Calif.--(BUSINESS WIRE)--Commtouch® (NASDAQ:CTCH - News), a leading email and web defense technology provider, today announced its first quarter results for the period ending March 31, 2008.
First Quarter 2008 Highlights:
Revenues for the first quarter of 2008 increased by 41% to $3,401 thousand compared to $2,405 thousand in the first quarter of 2007.
Net income in accordance with US Generally Accepted Accounting Principles (US GAAP) for the first quarter of 2008 was $400 thousand compared to a net income of $267 thousand in the first quarter of last year, representing an increase of 50%. GAAP net income for the first quarter of 2008 included $534 thousand of stock-based compensation expenses (FAS123R), compared to $243 thousand of these expenses in the first quarter of 2007. This amount includes an expense of $183 thousand, most of which pertains to the acceleration of options of three board members who completed their multi-year terms on March 31, 2008.
Non-GAAP net income for the first quarter of 2008 was $934 thousand compared to a net income of $510 thousand in the first quarter of 2007, representing an increase of 83%.
Deferred Revenues (long-term and short-term) as of March 31, 2008 amounted to $3,230 thousand, a decrease of 6% over deferred revenues as of December 31, 2007.
Operating cash flow in the first quarter of 2008 was $1,096 thousand, compared to $953 thousand in the first quarter of 2007.
Cash, short term cash deposits and short and long-term marketable securities as of March 31, 2008 amounted to $15,530 thousand, compared to $14,407 thousand as of December 31, 2007. The increase is due to the above-mentioned positive operating cash flow and the receipt of $223 thousand, representing proceeds from the exercise of warrants and options.
The Company re-valued its Auction Rate Securities (“ARS”) portfolio and recorded an unrealized loss of $87 thousand in other comprehensive income as a reduction of shareholders equity. As of March 31, 2008, the Company had $2 million invested in triple-A rated US municipal bonds, which are Auction Rate Securities (“ARS”). As a result of the deterioration in the US financial markets, these securities have recently suffered from multiple failed auctions. Following third party advice, and since the Company believes this impairment is temporary due to current market conditions, the Company recorded this unrealized loss and also reclassified its ARS investments as long-term investments on its balance sheet.
The Company signed five new OEM licensing agreements during the first quarter of 2008. The Company’s global OEM partner count was 93 as of March 31, 2008.

Our solution suite is a leader in combating the ever-growing spam problem. A number of the large accounts that we recently signed are now starting to generate business, and we have a healthy pipeline of potential new OEM license agreements. Future Business Outlook
Based on current business activities and general economic conditions, Commtouch's management reiterates its full year 2008 guidance which it issued last quarter: 2008 revenues are expected to be in the range of $15 million to $16 million with annual non-GAAP earnings in the range of 16 to 19 cents per diluted share.
Based on the Company’s past experience, quarterly growth rates will likely fluctuate from quarter to quarter based on seasonality and specific customer launch dates. Traditionally, the second half of the year is seasonally stronger from a revenue standpoint than the first half.
The above outlook is as of the date of this release, and the company undertakes no obligation to update its estimates in the future.
Use of Non-GAAP Measures
Commtouch’s non-GAAP net income differs from results reported under U.S. GAAP due to non-cash items; since it is too early to determine the impact of stock-based compensation expense for the rest of the 2008 year, Commtouch is not providing guidance on GAAP net income. Stock-based compensation expense has a negative impact on net income.
This press release includes financial measures for net income (loss), basic and diluted earnings per share that exclude stock-based compensation expenses and are therefore not calculated in accordance with generally accepted accounting principles (GAAP). Management believes that these non-GAAP financial measures provide meaningful supplemental information regarding our performance that enhances management's and investors' ability to evaluate the company's net income or loss and earnings or loss per share and to compare it with historical net income or loss and earnings or loss per share.
The presentation of this non-GAAP financial information is not intended to be considered in isolation or as a substitute for the financial information prepared and presented in accordance with GAAP. Looks like that homerun has turned into a strikeout! Once the share price went below $5.00, folks really started to jump ship. Well, at least I got out in the $5.00 range. At this point, I wouldn't be surprised to see the price back below $3.00. I have yet to see a reverse split work out for shareholders. What was the board thinking? Who in their right mind would buy a stock for $6.00 when the EPS is $.06? This isn't 1999. Oh wait a minute, the share price plummeted back then also. Poor decisions by management I guess.
Things are getting interesting. With the share price getting closer to $4.99 per share, CTCH's options are staring to run out. The insiders are going to have to keep the price above $5.00 or fund investors are going to lose interest. The only other options are to look for partners ie, buyout, or let the price drop and file authorization for more shares. Which may have been the intention all along. Remember, we are not board members, just peon investors. Let's see if CTCH(D) can step up to the plate and hit a homerun. JMHO
News Release looks positive for 2008. I still would like to know who's buying though...other than insiders.
CTCH has 14 institutional holders representing only 2.5% of the holdings VS cpst has 73 institutional share holders representing 24% of the shares. The greater the percentage owned by institutions the better. IMO
At this point, I think I'll hold on too. I'm curious to see what is going to happen after the split though. I can say this, someone is keeping our heads above the $2.00 mark. Is it an optimistic insider, is it an early 2008 post split fund manager, I don't know. I think that the best thing one can hope for as a recent buyer though is for a buyout or a small profit in the near future. At $6.00 plus a share (A/O January), you'd have to have some pretty good EPS, along with other numbers, to move much higher. Oh well, what do I know Remember, this is just my humble opinion. M~

Well, it's going to be interesting to see how the next few weeks play-out. At this moment (12-17-07), a 1 for 3 R/S will only give us a share price of $6.00, that doesn't give us a lot of room for error. It also looks like a few of the shareholders have dumped their shares today. Are they the smart ones or the not so smart ones? We'll see! Commtouch Software Ltd. (Nasdaq: CTCH) today announced a licensing agreement with internet security firm Check Point Software Technologies Ltd. (Nasdaq: CHKP).
This is apparently the largest contract to date for Commtouch, which has licensing agreements with over 80 partners.
Commtouch’s multi-layer email defense approach includes its Reputation service for perimeter blocking of unwanted emails, significantly reducing the necessary IT resources for handling email, and its anti-virus software. It also includes its anti-spam solution, which work with all formats and languages including Asian languages, image spam, and attachment spam.
“Check Point’s choice of Commtouch as the best solution for its customers after a period of rigorous testing further validates our technology and is an important milestone for Commtouch,” said Gideon Mantel, Commtouch’s chief executive officer and chairman of the board.
Commtouch develops messaging software and is a global developer and provider of proprietary anti-spam and anti-virus solutions.
Also today, Commtouch announced the availability of its new GlobalView Mail Reputation Service, a perimeter protection layer that offloads the majority of spam, malware and phishing messages before they enter corporate networks, and identifies zombie-sent messages in real-time.

Well now we know why there was a surge in volume last week. Hopefully this isn't a case of buy on the rumor, sell on the news. I think these two recent PRs should help solidify our place in 'e-mail defense technology', especially with the announcement of a big name like CHKP. Lots of volume today. As a matter of fact, the most we've had since mid August. I think that's typical after a good run up prior to earnings. Hopefully we've gotten rid of the swing traders and the other profit takers. All in all, we've held up pretty well so far, considering what has happened to the rest of the market. Lots of volume is a good thing in this case, unfortunately, you can't beat the market makers (computers)when it comes to the share price. Hopefully we can stay above $2.00. The good news is, that with all of this volume, the float is tightening up. M~
I pretty much concur with your thoughts. Looking back on one of the P.R.s (Sept or Oct, I'll have to find it), one of the board members purchased a nice amount of shares in the open market ("for investment purposes"). This, to me, is a good sign and shows faith in the company. I don't think he wants a 5% premium on a company that he thinks is worth a lot more. JMHO M~

From a shareholder perspective, over the next few months, it might not be a bad idea. Especially if there was a nice premium. I agree in that a rev. split doesn't usually spell good news, especially for the investor who purchased prior to the split. Looking at the share price at this moment, a r/s would move us over $7.00 per share. It would also lower the number of shares O/S, and float. Depending on the revenue generated, it would change our EPS number also. If the timing is right, and maybe it will be considering that they plan on doing this in the 1st qtr. of next year after 4th qtr. and 2007 earnings, the pps could hold steady above $5.00. Again, I'm not real optimistic as a shareholder, but, I'm not an insider. I don't know what's cookin' for 2008, CTCH could release numbers and potential partners that will make the street jump all over this stock. We shall see! JMO~
Re: Reverse Split.
As a rule - in general, a R/S is not 'good news'.
There is hardly one example to prove otherwise.
If, however the R/S is done for the purpose addition
of institutional investors the outlook could be positive,
especially when it involves the transfer of the company
to a superior listing.
That said, the most important factor is that the company
maintains its growth and profitability.

Did any one listen to the conf. call? One of the things that I do remember being mentioned, is that the board expects an EPS for the fourth qtr. to be $.04. I think that's pretty optimistic and courageous on CTCH's part. $.04 per share would be a good thing.
This 1 for 3 rev. split has me a little nervous though. If the split does occur, CTCH will almost mirror another company out of Israel, ClickSoftware Technologies (CKSW). Makes you wonder. JMHO~
Here we go..... Two press releases. Earnings are out, but the company is alluding to a one for three reverse stock split. What do you folks think about that? I think that if the institutional investors jump on board, it could be a good thing. If CTCH continues with good P.R.s, with some well known business partners and can keep that share price 3x what it is currently, we have a chance. If not, well! JMHO~
This 'PANDA' company seems to be a pretty big player in the anti-spam/antivirus arena. Hopefully we'll hear some good potential revenue numbers on Nov. 1st, or soon after. Perhaps that's what's been driving the pps up over the last couple of weeks. A while back, there were rumors about CTCH signing a deal with a company who's name begins with the letter 'C'. If that deal goes through, we'll be looking pretty darn good! Better jump on board, this train is about to leave the station. M~
Okay, here we go again, earnings results week. I think we'll have a good idea where we stand by Friday. We could see some volatility this week with the anticipation of earnings along with the Fed. possibly adjusting rates. I hope there is more enthusiasm this qtr. than there was last qtr. Humm, somebody likes this stock. During the intraday (10-25-07), we've just equaled our 52 week high. Could it be the Panda deal? Could it be good news pending on our third qtr. report? Could it be another big name licensing deal? Could it be insiders accumulating prior to great news? Or, could it simply be that we're a diamond in the rough and people are starting to notice us now? i think CTCH is on track and will go north to my old target price which is 2.5$ - 3$ pps.
investors were back when they saw 9 new OEM agreements and that reports of Q3 will release on time, which mean IMO, NO PROFITS WARNING.
second, if you look at the chart you can see that 2$-2.05$ resistant was broken with big volume. IMO next resistant is 2.49 and if it will break we will see 3$.

Commtouch Software Ltd. (Nasdaq: CTCH) licensed its e-mail defense technology to nine new companies during the third quarter of 2007, bringing the total number of OEM partners to 82. The company did not disclose the amounts of the contracts.
Commtouch CEO Gideon Mantel said, "The third quarter was another strong quarter in terms of new partners signed, continuing our earlier momentum. One of our objectives for 2007 was to sign 30 OEM deals, and we have nearly achieved this target already at the end of third quarter. These new agreements, together with our existing partner base, are laying the foundation for our future growth in 2008."
Commtouch signed 19 OEM contracts during the first half of 2007. The company posted $2.6 million revenue for the second quarter, up 54% on the corresponding quarter of 2006, and posted a profit of $483,000 compared with a loss of $114,000 for the corresponding quarter. The share closed at $2 on Friday, giving a market cap of $148 million.

Israeli investor Aviv Raiz on Thursday reported holding a 20.9% stake in Commtouch Software Ltd. (CTCH), according to a Schedule 13D filed with the U.S. Securities and Exchange Commission.
Raiz beneficially owns about 15.94 million shares of Commtouch Software, a Santa Clara, Calif.-based provider of e-mail and other messaging services.
Raiz said he acquired the shares for investment purposes.
Commtouch's shares were trading Thursday morning at $1.96 each.

Wow, looking at the graph over the last two days, it looks like the MMs have a lot of shares to sell @ $2.05, the line on the graph seems to be flat for 10's of thousands of shares on both days. That's okay, they'll run out of their stash soon. M~
