What's going on?
this situation reminds me of Birchmountain, their old assets are a private company (Hammerstone corp) and the shell continues to trade. it would seem logical that the private co's reverse merge back into the tickers at some point but it might be a long wait.
Particle Drilling is still operating they are on a job in Wyoming. They are hiring and have more jobs in same area to do. The technology they have works, all depends on natural gas prices.
So is PDRT a shell now?
pdrt is the stock still trading i thought is was bought out by a private company
I have one big question. What does this stock do for us as shareholders in as what I see as nothing left?

A Houston company engaged over the past four years in development of a new drilling technology has emerged from bankruptcy with fresh financial backing and a commitment from an energy industry giant intact.
Particle Drilling Technologies Inc., which had been publicly traded, filed for Chapter 11 bankruptcy protection in May and laid off most employees as the company’s private and public funding options hit a dry hole due to the squeeze on financial and credit markets tied to the global recession.
Five months later, following completion of lengthy proceedings through U.S. Bankruptcy Court in Houston, the company is back in business as a privately held entity, financed by Edward Heil, a Chicago-area businessman and investor.
The new holding company is known as PDTI Holdings LLC, but continues to do business as Particle Drilling.
Company officials say Particle Drilling is back on track with research and development efforts to design new applications for the company’s hydraulic-energy based drill-bit technology, created to cut through particularly hard or abrasive rock formations. The system is designed to drill into the rock at an estimated rate of two to four times faster than conventional equipment.
In pursuit of developing the system, Particle Drilling has posted cumulative losses of about $45 million since the company’s formation in early 2003. A reverse merger transaction in 2005 took the company public.
Particle Drilling CEO Jim Terry says he filed the bankruptcy papers as a last resort after other capital-raising options were exhausted. He says he made his decision after LC Capital Master Fund Ltd., a New York hedge fund, forwarded only $60,000 of a promised $400,000.
Says Terry: “That put us behind the eight ball, so we had to furlough everybody.”
MAJOR COUP
Regulatory filings show Particle Drilling began looking for strategic alternatives a year ago just as credit markets became frozen solid.
Particle Drilling experienced some encouraging results, but also ran into unexpected problems with a commercial field test for Canadian natural gas giant EnCana Corp. that sent the Houston company’s technology back to the drawing board.
Filings also show the company scored a major coup last December by inking a developmental deal with Shell Oil Co. to design, test and produce four variable-sized drill bits through 2010, and received a $200,000 payment from Shell in March.
Declining to confirm the deal with Shell, Terry says only that Particle Drilling has an agreement with a “major oil company,” and will continue testing drill bits for that company in November at a new site in Wyoming, after completing initial testing earlier this year in New Mexico.
Kelly op de Weegh, a Shell spokesperson, says the company cannot comment on vendor agreements “for competitive reasons.”
Terry does confirm that Particle Drilling is in discussions with Petrobras, the Brazilian multinational oil company, to potentially test the drill bits in an offshore site and at an onshore site in the Amazon jungle. He also hopes to resume talks with EnCana regarding the company’s holdings in the Haynesville natural gas shale play in Louisiana.
Regulatory documents also show that Particle Drilling was able to fight off a court challenge from ProDril Services Inc., which sought to continue a prior royalty payment agreement related to the drilling technology with the new private entity.
Bankruptcy court filings show the company is spending approximately $300,000 a month for continuing operations.
Particle Drilling’s stock still officially trades at less than a penny a share on the Pink Sheets after being delisted from the NASDAQ Stock Exchange LLC, but the company did file paperwork with federal regulators in September to cease requirements for continued public filings.
Terry points to the company’s accomplishments during the financial trials and tribulations.
“Through this difficult period we still managed to prototype some new drill bit sizes,” Terry says.
He notes that drill bit sizes being tested by the company range from 6 inches in diameter to 9 7/8 inches.

RECENT NEWS:
Particle Drilling Technologies Announces Field Trial Results and Its Intent to Pursue Strategic Alternatives
The Company will hold a conference call on Tuesday September 16, 2008 at 11:00 a.m. Eastern Time
HOUSTON, Sept 16, 2008 /PRNewswire-FirstCall via COMTEX/ -- Particle Drilling Technologies, Inc. (Nasdaq: PDRT) (the "Company") announced today, results from its most recent commercial field trial. The Company's Board of Directors also formed a special committee to evaluate and pursue strategic alternatives, including a strategic industry joint venture, technology licensing arrangement, sale of the company and other available alternatives.
Results of Commercial Field Trial
The Company recently deployed its Particle Impact Drilling ("PID") System to drill the Travis Peak formation in the Deep Bossier play in East Texas. The PID System was utilized for two separate PID bit runs with one conventional bit run in between. The trial did not result in an improvement over the previous trial, which was the Company's objective; however, the trial provided additional learning and progress. During the trial, PID penetration rates were from two to three times faster than conventional bits ran in the same comparable rock formation when drilled with conventional mud, as most are today.
The new PID Injector system was shown to be fundamentally sound in delivering particle volumes regardless of the variable pressures encountered on the well. However, smooth operation and the durability of some components of the surface system fell short of expectations on this first-ever field use of the new injection system. Also, as a result of using gelled water as the drilling fluid rather than conventional drilling mud, there were times when particles accumulated in the wellbore annulus resulting in the inconsistent return of particles to the surface. These events were dealt with, but resulted in a significant percentage of non-productive drilling time.
Jim Terry, Company's President and CEO stated: "We are disappointed the newly designed PID equipment did not result in well on well progress as was the case with all the previous trials. This was the first deployment of the new injection system and we proved that the ability to inject particles regardless of changing well pressures was successful. The trial also further validated the merit of PID technology and resulted technical and operational progress."
In order to gain access to additional technical and financial resources to accelerate the development and commercialization of the PID technology, the Company's Board of Directors have determined it will be in the best interest of the Company and its shareholders to evaluate all available strategic alternatives. Accordingly, the Board of Directors has authorized management to pursue such alternatives, and have established a Special Committee of the Board to assist the management team with this process.
Ken LeSuer, the Company's Chairman, commented, "The history of technology development in the oilfield tells us that many of the breakthroughs have come from many years of hard work and continuous effort towards improving the tools to the point where they are commercial and become adopted. As an example, the polycrystalline diamond compact ("PDC") drill bit which now represents a substantial portion of the drill bit market was introduced in the 1970's and was considered an unlikely success in the early days due to continuous setbacks. There are many other examples, including directional drilling and rotary steerable systems widely used today, which were only a small portion of the drilling market just ten years ago. As a small company with limited resources, I believe our team has done an excellent job of proving the merits of particle impact drilling and have reduced the remaining challenges to a manageable level. At this time however, we think it is in the best interest of all shareholders to consider all available alternatives to expedite the commercialization of this technology."

Particle Drilling Technologies Announces Fiscal 2008 First Quarter Results
Highlights
- Trial schedule will be announced as soon as Company completes evaluation and modification of injection system
- Company signs contract extension with existing customer
HOUSTON, Feb. 6 /PRNewswire-FirstCall/ -- Particle Drilling Technologies, Inc. (Nasdaq: PDRT) (the 'Company') today announced its financial results for the fiscal 2008 first quarter ended December 31, 2007.
During the quarter, the Company completed the engineering, design and construction of its new 'extruder' based particle injection system.
The Company is currently making modifications to the new injection system focused on increasing the speed of filling the system with particles for high volume injection rates. Thus far, the test program has demonstrated that the other components function and perform as specified for operational success. Examples of injection system accomplishments are:
1. Injection / Standpipe Interface: The process of mechanically extruding particles at desired rates into pressured mud flow has been achieved and repeated for a sufficient amount of time and under various conditions required to meet field objectives. Fundamentally, this capability is at the heart of the research and development around the injection process and is the key to entraining particles into flowing high pressure drilling fluid.
2. Pressure Barriers: The pressure barriers are cycling properly and holding the necessary pressure changes, as designed.
3. Control Systems: The previously untested automated hydraulic control system functions properly. In addition, the electronic control system which operates all components including the elevator, particle volume/rates, actuation of all valves and operation of the extruder works effectively.
During endurance testing, the Company identified one issue in particular that needs to be addressed before the system can be deemed field ready. This relates to decreasing the time required to fill the upper chamber where particles are introduced at atmospheric conditions and then pressurized before filling the lower chamber. It is necessary to decrease the 'fill time' in order to maintain high volumes of particle injection. The Company is in the process of testing and implementing solutions to address this issue. Once the Company is satisfied with the results of this test program, the Company intends to announce a field trial schedule.
'During the last several months, we have made good progress. While the new injection system requires some modifications that require additional time to implement and test, we believe that this system is the solution for injecting particles,' added Jim B. Terry, President and CEO, Particle Drilling Technologies. 'We have renewed our contract with our existing customer and are now in the process of planning for the next commercial trial. We look forward to the next commercial trial as, I believe, the stage is now set for commerciality.'
Particle Drilling Technologies' financial results reflect its status as a development stage company during the first quarter of fiscal 2008 generating no revenue. The Company has yet to generate cash flow from operations, and until revenues commence, the Company is highly dependent upon debt and equity funding. Based on the Company's current liquidity position, the Company will need to raise additional capital through debt or equity funding. Management cannot provide any assurance that any such financing will be available on acceptable terms or at all. The following is a summary of the quarterly results:

Particle Impact Drilling (PID) Technology
The patented Particle Impact Drilling (PID) technology is a mobile system that readily adapts to typical conventional drilling rigs. The system will be provided and operated by PDTI as a service to the oil and gas company for drilling certain rock intervals; specifically in wells where penetration rates decrease due to extreme compressive strength of the formations being drilled. Tests have shown that the PID system is capable of drilling through rock formations at rates multiple times faster than current conventional techniques.
The system relies on readily available hydraulic energy combined with round hardened steel particles entrained in the drilling fluid to rapidly excavate the rock formation being drilled. Unlike conventional drilling techniques, the process does not rely on weight-on-bit and torque to mechanically break the rock. Steel particles are introduced into the drilling fluid at a point downstream from the rig pumps, thus not interfering with the normal operation of the rig pumps. These particles then flow down the drill stem and are accelerated through the nozzles of a specially designed fixed-cutter bit, striking the formation at high velocities. The particles and cuttings are circulated to the surface by the drilling fluid where a shot-extraction device captures the particles for re-injection. The PID application results in significant rate-of-penetration gains, thereby reducing the amount of time the operator spends on location to drill the well. Value is generated by savings in labor, fuel, rentals, rig time and other variable well costs, resulting in a much more efficient and cost-effective drilling process.
The PID system is protected by U.S. Patents 6,386,300 B1 and 6,581,700 B2. Other U.S. patents and foreign patents are pending.
The reduction in drilling time and reduction of other drilling problems resulting from the utilization of the PID system represents estimated savings between 35% and 50% of conventional drilling costs.
