#20544 RE: Gold Seeker #20543

Thank you for your 2 cents worth Gold ..Can you prove that 4.75 billion shares are in the hands of what you call "Gullible retailers"...Man that opinion or spin is very hard to believe...Gullible retailers would be buys at 1 million shares or 10 million shares at a time not blocks of 250 to 500 million shares within seconds of trading as we have recently experienced and over the last two years..Is there a forum here of "gullible retailers that buy 250 to 500 million shares within seconds of eacj other.//This seems to be what you are referring to...Please explain tia..? Gullible investors don't buy 250 to 500 million shares within minutes of each other..My opinion would be smart money buyers like a creeping takeover group...

Creeping Takeover

In a creeping takeover, investors or a group of individuals adopt a strategy to get around rules. Typically a group of individuals try to gradually acquire a target company shares in the open market. Often, the ultimate goal of a creeping tender offer is to acquire enough shares of the stock of the target company.

With a creeping tender offer, the offerer (s) will attempt to circumvent the legal requirements and quietly go about purchasing shares from different shareholders. Only once a substantial number of shares have been acquired with the group do they comply with filing the proper documents with the SEC. The result can be that the target company finds itself in a hostile takeover bid before there is a chance to prepare for it.

Since an acquirer purchases shares through the open market, a premium is not offered to the shareholder. Creeping tender offers are primarily used to try to circumvent provisions of the Williams Act (A federal act, passed in 1968, that defines the rules in regards to acquisitions and tender offers) and obtain shares at a non-inflated price. In India, as per SEBI regulations, promoters and persons acting in concert can increase their stake by 5 per cent only one time. This stake hike can be done in one or more tranches.

Gold said>>>>> Check the form 13 filings. They were for warrants and not stock. The warrants had full ratchet pricing and the converted shares were sold to gullible retail.
