This could very easily be the case, but a lot of times a company will include some more recent developments in their 10-K as a "this is what has gone down since the end of the 4th quarter" type of deal.

So we may or may not see some info about the Merger in this 10-K from the year ended Dec 31st, 2013... but they should mention the original Share Exchange Agreement - which is now cancelled - and this will likely call for at least a minor elaboration.
