Personally, I believe that the reason is that the plaintiff lawyers EXPECT this to end up in the Supreme Court and therefore are more interested in Constitutional issues.

If their plan falls thru, they can always sue under these theories later.

Another theory might be that under the Revlon/Unocal/Par theories, the recovery would be the value of the stock prior to the contract. I dont recall the exact price, but wasnt that like 50 cents per share? Under the Constitutional issues, recovery could be restitution which might be worth 40-80 dollars per share.
