Uplisting Question

Does anyone know or could someone point me to a link that describes what needs to be done to uplist to the OTCBB from Pinksheets?

If a reverse merger takes place, I am wondering if a company can even have this many shares and uplist. Would it REQUIRE an RS? JT promised no, but would it be inevitable? And wouldn't that ruin any chance of big gains from having a large number of shares?
