Yes, that is a requirement, along with the naming and function of an audit committee and others, but there is no enforcement capacity or interest in NV, so if shareholders want to enforce their rights or see the BOD perform their full duties and they don't have the shares to collectively demand a meeting, recourse would seem to rest in a court action.
