Not sure I follow what you are trying to say. There is a difference about structuring a company to avoid paying any more taxes than necessary from creating business structure to illegally avoiding paying taxes or to avoid some other conflict with authorities.

It does not matter how a business structures itself when it comes to payroll taxes, the rates are the same.

The issue with BCCI is not in the way the company has been structured. It is with the violation of the law, the creation of completely separate entities, etc.

BCCI is a Nevada Corporation. To do business in Washington state, it has to report to the SOS. There is no record that it ever reported to the SOS, or that it acquired a license in Washington to do payroll. Period.

In fact, the filing by the Labor Dept. in court clearly indicates that Henthorn, Steciw and Bjornson filed for a payroll number as a non-registered partnership, generally known is WA as an LLP.

In other words, the EIN of BCCI does not appear on the record. Had they used that EIN, the computer would kick it back saying that it is the wrong number. Why would these guys take personal responsibility to do this when there is other avenues is beyond me. The obvious thing to have done is to have reported BCCI as doing business in WA and get a state payroll number that is attached to the EIN of BCCI. There is no two ways about this. I have been working in the field for nearly 40 years, and that is how the system works. Period.

Had they used the EIN of BCCI, the filing in court would be against a corporation and the name attached to it would be Henthorn. There would be no need to attach Steciw and Bjornson. It is only the name of the legal representative. But BCCI as a corporate entity is not registered as doing business in WA. Period. What scheme is going on is not known to us, but this is highly irregular. Maybe they did this because they are trying to hide some other particulars. I know there are investigations going on on against this company, and that is also known to some others here.

The fact that some people are not aware of certain details is not an indication that the facts are unknown to others and that what they are saying is speculation and rumor. You are free to accept what somebody else says, but if you really dug into the matter, you will know what I mean.
