How could FS sue Ironridge here based on what written?

It states that "up to $5,000,000" dollars and it does not say "a minimum of $5,000,000". Ironridge spent ~ $2.9 million or so based on this alone I do not see a problem. Unless it is the second part where they say "various activities" which could be harmful to CERP. Those we do not know about, do we?
