Did you read the court documents? According to Dixie, they were supposed to form a joint venture with MJNA wherein they kick in the intellectual properties and formulations and MJNA would kick in 24M shares thus giving them 60% ownership within 15 days of RDH being put into operation.

MJNA never issued RDH the 24M so Dixie was forced to carry all the costs of running RDH. As far as Dixie is concerned, MJNA is not entitled to a single cent considering they never actually invested in RDH. Hence the "breach of contract" complaint.
