So then a purchasing company shouldn't pay more for a company than what the current SP is?

I think companies are bought at a major premium to their current SP, that happens all the time, no?

How would it be explained then when a big company attempts to buy a non-public company, with no revenue for 100's of millions $ or even billions of $? I thought Facebook just did that?
