I mis-spoke (that's not a lie according to the President).
It is a Shelf and not a Secondary.

But the point is that they are not planning on selling shares on the day of earnings. It's sometime in the near future.

You could argue that they have years to sell shares. But does that mean they need money next year or two years from now?

The reality is that they need it in the next couple of months.
Cash flow or paying debt.
