You are confusing the term "annual report." The annual report that needs to be filed with the FL SoS is simply a list of the current officers and addresses along with payment of the annual fee (and now a late fee will be due).

The delayed annual financial and disclosure report to be submitted to OTC Markets has no bearing whatsoever on the FL SoS status of the PVE subsidiary. Peter does not need to wait to submit the annual financial and disclosure report to reinstate the Florida subsidiary corporation.

Although it's irrelevant to the issue of the standing of the FL subsidiary, the annual financial and disclosure report for VDSC is a consolidated report for the Nevada holding company and all of its owned subsidiaries (PV Enterprises, IMAG Group and Saenz Corporation).

Administrative dissolution of corporate entity (PVE)in Florida prevents any defense to be raised in court by that entity.

Thus, if that is correct,these pending court cases lose a defending party. Leaves only Peter as the personal guarantor and PVEI as the defendant(s).

Can anyone confirm?
