#21539 RE: Klinsmann #21538

I have already taken the list of shareholders that purchased shares in the ppm and contacted the states in which they reside. The issuer never filed with any of the states and failed to file form D with the SEC. Also, the issuer failed to expense the discount the purchasers the difference from the fair market value versus the prices paid. I have already spoken with the AICPA, PCAOB, for the deviation and departure from GAAP accounting as well as the accountant that was supposed to do the audit two years ago that is no longer certified to provide that specific attest service. I have discussed with the states the failure to register their shares for sale and I have discussed with the SEC the bogus press releases.

The investigation process has begun.

Someone has to stop the fraud running rampant in the Pink Markets these days. Sad is that the CEO, such as Mackay(however you spell his name, even he does not know how to spell his own name), promoters like Zembek(did he go to college? I checked from his facebook page and called the registrar, no Zembek) and Adams are not the only perpetrators in the efforts to induce investment. I think the purchasers of deep discounted shares are acting as promoters of the securities and acting in a manner to induce investment based on false information as provided by the issuer. Since the purchasers did not pay fair market value, it can be construed they were given a deep discount in exchange for un-related services. Many of these purchasers, acting as consultants with the intent to induce investment and violate Section 10 for personal gain could potentially be construed as "affiliates" by SEC definition. If you do not believe it, speak with the SEC Office of Investor Education and Advocacy. One might find their name there as a stock promoter.

about 3 months ago this was trading around the same pps that it is now, then reality sunk it which tells me that someone who is desperate to dump his/her shares will take the risk of buying up blocks of shares to temporarily inflate the price just to dump soon after, and like clock work more blind faith investors keep falling for the banana in the tail pipe trick. smh
