In BRZG'S case, if there is a reverse merger the only way they could acquire the assets of the private co. is by a RS because they don't have the assets themselves to pay for them. RS raises the share value so the 80 to 85% of the common stock that will be transferred will be of the value needed to satisfy the deal. IMO there will be a reverse merger because without it BRZG is not going anywhere anytime soon.
